Location: On-Site in North Dallas (Galleria Towers) and/or Farmers Branch, TX

Position Type: Full-Time

Compensation: Based on Experience – Salary + Bonus + Equity Opportunity

Position Overview

As Corporate Counsel, you will serve as a key member of the Legal Department, partnering closely with the General Counsel to support the Company's corporate governance, SEC compliance, commercial contracting, and strategic business initiatives.

This is a highly visible role designed for a business-minded attorney with 4–7 years of corporate law experience who can provide practical legal guidance while balancing risk management with operational objectives. The ideal candidate possesses strong experience in contract review and negotiation, public company reporting obligations, and corporate governance matters.

You will work cross-functionally with executive leadership, Finance, Human Resources, Operations, and external advisors to ensure legal compliance, support strategic growth initiatives, and help maintain a best-in-class governance framework.

What You'll Own
  • Support the preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and other public company disclosure obligations
  • Assist with the administration of corporate governance activities, including Board of Directors and committee meetings, resolutions, minutes, governance policies, and related documentation
  • Review, draft, negotiate, and manage a wide variety of commercial agreements, including:
    • Vendor agreements
    • SaaS and technology contracts
    • Service agreements
    • Statements of Work (SOWs)
    • Non-Disclosure Agreements (NDAs)
    • Consulting agreements
    • Marketing and partnership agreements
    • Procurement and supply agreements
  • Provide practical legal advice to business stakeholders regarding contractual obligations, risk allocation, and regulatory considerations
  • Support corporate transactions, strategic initiatives, and business development activities, including due diligence and transaction documentation
  • Partner with Finance and external auditors on public company compliance matters and disclosure controls
  • Assist in the development, implementation, and maintenance of corporate policies and compliance programs
  • Conduct legal research and prepare memoranda, summaries, and executive‑level recommendations on legal and regulatory matters
  • Coordinate with outside counsel on specialized legal matters, litigation support, intellectual property issues, and regulatory inquiries
  • Maintain corporate records and ensure legal documentation remains organized, accurate, and audit‑ready
What You Bring
  • Juris Doctor (J.D.) degree from an accredited law school
  • Active license to practice law in at least one U.S. jurisdiction
  • 4–7 years of experience practicing corporate law at a reputable law firm and/or publicly traded company
  • Strong experience reviewing, drafting, and negotiating complex commercial agreements
  • Working knowledge of SEC reporting requirements, securities regulations, and public company disclosure obligations
  • Experience supporting Board governance activities and corporate records management
  • Excellent legal research, analytical, and problem‑solving skills
  • Strong written and verbal communication abilities with the ability to advise both legal and non‑legal stakeholders
  • Demonstrated ability to manage multiple projects and competing priorities in a fast‑paced environment
  • High degree of professionalism, discretion, and business judgment
Bonus If You Have
  • Experience supporting a publicly traded company
  • Prior experience with securities law, SEC reporting, and corporate governance matters
  • Exposure to mergers and acquisitions, corporate transactions, or capital markets activities
  • Experience supporting eCommerce, technology, logistics, retail, or other regulated industries
  • Familiarity with stock exchange governance requirements and insider trading compliance programs
  • Experience implementing legal operations improvements, contract lifecycle management systems, or governance technology platforms
