The Team:

The Corporate Governance Legal team within Bloomberg’s Legal Department works closely with senior management and business partners throughout the Company to design and manage the governance framework for Bloomberg’s businesses globally, including its regulated businesses. The team’s principal focus is to provide and implement strategic and practical guidance to shape the growth and evolution of our Company, which delivers world-class products and services to valued clients globally.

What’s the Role?

The Corporate Governance Counsel role is an exciting opportunity to support Bloomberg in promoting excellent standards of governance. You will collaborate with colleagues and handle cutting-edge, international governance and corporate structure matters.

We’ll trust you to:

  • Advise stakeholders on compliance with governance practices, laws and regulations
  • Draft and review agreements and governance materials
  • Collaborate with colleagues in Legal, Compliance, Risk, Finance and Accounting, Tax and Treasury to analyze and design corporate entity arrangements, form new entities, set up businesses and execute on corporate structure initiatives
  • Lead board meeting preparation cycles for regulated subsidiaries by drafting materials, minutes and resolutions and shape content along with board members and other key stakeholders
  • Draft and review corporate disclosures
  • Manage and maintain corporate registers, minute books, organizational charts and public filings

You’ll need to have:

  • A solid foundation in corporate law principles, with at least 5 years practicing corporate law at a top law firm and/or in-house legal department of a multinational company
  • JD degree and active membership in the New York bar
  • Strong experience drafting agreements, disclosures and resolutions
  • Exceptional written and oral communication skills, including the ability to translate complex legal concepts to digestible, easy to use content for business leaders and other non-legal teams
  • Excellent organizational skills and exemplary attention to detail
  • Proactive attitude and approach to managing projects and leading initiatives, including the ability to balance multiple matters simultaneously and determine when and how to prioritize
  • Eagerness to develop your knowledge of corporate law and governance practices to complement a high-performing legal team with a global reach advising a multi-faceted business.
  • The confidence to work effectively and with minimal supervision on matters that require significant collaboration with key stakeholders (e.g., senior colleagues, business partners and non-legal teams)
  • A strong desire to understand and learn about Bloomberg's business
  • Keen interest in using technology to improve efficiency
  • Integrity and discretion when handling and advising on confidential or sensitive information
  • Demonstrated ability to thrive in a diverse and fast-paced team environment

We’d love to see:

  • Knowledge of financial regulatory regimes, e.g., SEC, CFTC, UK FCA or ESMA regulation
  • Familiarity advising a variety of legal entity structures across US and non-US jurisdictions
  • Experience managing foreign counsel to drive strategic, practical legal outcomes

Salary Range = 200,000 - 255,000 USD Annual + Benefits + Bonus

The referenced salary range is based on the Company's good faith belief at the time of posting. Actual compensation may vary based on factors such as geographic location, work experience, market conditions, education/training and skill level.
