MGT Insurance is seeking a Corporate Development Lead to own the full scope of strategic and transactional activity at MGT — partnerships, M&A, capital raising, and market intelligence. Reporting directly to the CEO, this is MGT's first dedicated corporate development hire and a foundational leadership role.

You will manage bankers, run deal processes, negotiate directly with CEOs, CFOs, and General Counsel, and shepherd legal agreements through to close. You will also build the analytical and process infrastructure including models, decks, pipeline tracking, data rooms and anything that makes MGT's strategic activity run. As the Corporate Development lead you will bring both senior deal judgment and the willingness to do the hands-on work until the team scales.

What You\'ll Do

  • Own M&A processes end-to-end; origination through LOI, diligence, documentation, negotiation, and close; manage investment bankers, legal counsel, and external advisors with clear accountability

  • Lead strategic partnership negotiations directly including carrier agreements, wholesale distribution deals, MGA arrangements, and embedded insurance structures

  • Serve as MGT's primary counterparty relationship manager: engage CEOs, CFOs, Chief Legal Officers, and Board members of target and partner organizations

  • Negotiate term sheets, LOIs, NDAs, definitive agreements, and commercial contracts in partnership with Legal

  • Lead capital raising processes from investor outreach, data room management, diligence responses, through financing term negotiation

  • Build and maintain financial models for strategic opportunities: valuation, M&A pro formas, partnership return models, and capital structure scenarios

  • Produce board-quality decks, investment memos, and strategic analyses that drive decisions

  • Draft, track, and manage NDAs and confidentiality agreements across all active strategic conversations

  • Own MGT's deal pipeline CRM including tracking every active conversation, status, next steps, and owner

  • Monitor the insurtech, P&C, and AI investment landscape (i.e. competitor activity, valuation benchmarks, and emerging opportunities)

  • Maintain relationships with MGT's existing investors and support ongoing board and investor communications

  • Develop board-ready materials: strategic opportunity assessments, deal rationale, financial analysis, and risk frameworks

What You Bring

Required Qualifications

  • 8–15+ years across investment banking, private equity, or in-house corporate development

  • Demonstrated track record of owning M&A transactions and strategic partnerships from origination through close

  • Direct experience negotiating with senior executives (CEO, CFO, GC) on deal terms, partnership structures, and legal agreements

  • Strong financial modeling skills: valuation, DCF, accretion/dilution, and scenario analysis

  • Deep familiarity with legal agreement structures: LOIs, NDAs, definitive agreements, and financing documents

  • Experience managing investment bankers, legal counsel, and other external advisors

  • Exceptional written communication to include board memos, deal summaries, and strategic analyses that drive decisions rather than inform them

Compensation

$175,000–$225,000 annual base salary, plus 10% bonus and equity. Equity is a meaningful part of this package — as MGT's first corporate development hire working directly with the Co-CEOs, we expect to structure total compensation that reflects the scope and impact of the role.
