What Is a Corporate Associate?
A corporate associate is a lawyer who works at a corporate law firm and may practice in various areas depending on their clients, from healthcare and medical malpractice to banking litigation and government relations to intellectual property and insurance coverage. As a corporate associate, your job duties involve advising the firm’s clients on numerous matters, such as regulatory compliance, contracts, transactions, and finance. Qualifications for this career include a law degree and licensure to practice law in your state. Employers prefer you to have a few years of experience in corporate law or at a large law firm as well as excellent writing and speaking skills.
What is the difference between Corporate Associate vs Corporate Lawyer?
| Aspect | Corporate Associate | Corporate Lawyer |
|---|---|---|
| Credentials | Juris Doctor (JD), Bar admission | Juris Doctor (JD), Bar admission |
| Work Environment | Law firms, corporate legal departments | Law firms, corporate legal departments |
| Industry Usage | Commonly used in law firms and corporate legal teams | Used interchangeably with Corporate Associate in many contexts |
| Primary Focus | Supporting corporate transactions, contracts, due diligence | Handling legal matters related to corporate law, mergers, acquisitions |
Both roles typically require a JD and bar admission, working within law firms or corporate legal departments. While a Corporate Associate often focuses on supporting transactions and legal compliance, a Corporate Lawyer may handle broader legal issues related to corporate law. The terms are frequently used interchangeably, but 'Corporate Associate' emphasizes a junior legal role within a corporate legal team.

Job description
Rivian is on a mission to keep the world adventurous forever. This goes for the emissions-free Electric Adventure Vehicles we build, and the curious, courageous souls we seek to attract.
As a company, we constantly challenge what’s possible, never simply accepting what has always been done. We reframe old problems, seek new solutions and operate comfortably in areas that are unknown. Our backgrounds are diverse, but our team shares a love of the outdoors and a desire to protect it for future generations.
Role Summary
The Associate General Counsel, Corporate Governance and Securities will take a lead role in managing Rivian’s public company securities and corporate governance requirements. We are looking for an individual who can work independently but collaboratively in a fast-paced and collegial team environment, demonstrates sound business and legal judgment, and can prioritize and manage multiple projects on a broad array of topics. Rivian’s Associate General Counsel, Corporate Governance and Securities will report to the General Counsel and will work with other members of the Legal Leadership Team and leaders of the organization to ensure that Rivian complies with all public company securities and governance requirements.
Responsibilities
• Ensure compliance with public company legal and securities compliance and governance requirements, and support the necessary controls, processes and procedures
• Provide counseling, training and general legal advice to the company on securities laws and requirements, including periodic reporting requirements, Nasdaq listing standards, beneficial ownership reporting requirements, Regulation FD, insider trading laws and securities transaction preclearance requirements
• Oversee, draft and review Rivian’s periodic, current, and proxy SEC filings (10-Ks, 10-Qs, 8-Ks and PRE14A/DEF14A) under the ’34 Act, Registration Statements (S-1, S-8, and S-3) under the ’33 Act, Schedule 13Ds, Section 16 reporting (Form 3, 4 and 5 filings), blue sky and international filings to ensure compliance with federal, state and foreign securities law requirements
• Support Rivian’s annual stockholders meeting
• Support the Board of Directors and Board Committees, including serving as Committee liaison and supporting the drafting of meeting agendas, materials and minutes
• Oversee, draft and review documentation and materials in respect of corporate governance requirements and compliance with Nasdaq and the SEC, including (i) drafting Board of Directors and Board Committee charters, documentation, consents, resolutions and D&O questionnaires, (ii) drafting and managing all policies and procedures relating to the corporate and organizational governance of the Rivian group, and (iii) analyzing and tracking related party transactions on a group-wide basis
• Manage the company’s preclearance review and approval process for compliance with Rivian’s insider trading policy
• Oversee and manage all aspects of the securities and capitalization table management function, including responsibility for management of outstanding securities (in electronic and paper form) with Rivian’s transfer agent
• Review and advise internal stakeholders with respect to investor presentations, offering materials, public announcements, earnings releases, and investor call scripts and other communications
• Provide support to Rivian’s Treasury department, including capital markets and securities/debt offerings, credit agreements and monitoring covenant compliance under the company’s credit facility and indentures
• Experience managing and supporting strategic transactions, including joint ventures
• Oversee subsidiary management, including maintaining compliance with corporate filings, international reporting requirements and assisting with intercompany transactions
• Develop and maintain relationships with internal and external stakeholders, including communications, investor relations and outside counsel
Qualifications
• Must have a J.D. degree from an ABA-approved law school, and an active member in good standing of the California Bar or eligibility for in-house counsel registration
