About the Role
FluidStack is building hyperscale datacenter infrastructure across the United States. The Data Center Contracts Lead will own end-to-end contracts management within our Design, Engineering & Construction (DEC) organization, spanning EPC construction contracts, engineering and design services, professional services, and equipment procurement. This is an embedded, active delivery role-working directly with construction managers, project controls, legal, and project finance on programs ranging from $500M to $2.5B+ in construction value across the full project lifecycle: from early-stage GC procurement through execution, field enforcement, and dispute resolution.
Core Responsibilities
  • Lead negotiation of EPC, GMP, lump sum, and design-build contracts ($200M-$1.5B+), including multi-package delivery structures
  • Develop and maintain a contracts playbook and clause library covering bonding, LD frameworks, subcontractor provisions, IP ownership, cost-sharing mechanisms, and guarantee structures
  • Structure GC procurement strategies for a supply-constrained Tier 1 market, including PCSAs, retainer-based exclusivity agreements, and MSAs with volume commitments
  • Draft and negotiate owner-direct subcontracts, equipment POs, and professional services agreements
  • Serve as primary commercial point of contact with GCs, managing change orders, pay applications, milestone certifications, and claims
  • Administer payment mechanisms tied to schedule milestones, aligning contract terms with field progress and earned value
  • Coordinate with legal on enforcement actions including notice provisions, cure periods, for-cause terminations, and surety bond claims
  • Manage design responsibility allocation and track IFC deliverable completeness across Owner, EPC, and third-party design firms
  • Monitor insurance, bonding, and security compliance across the contractor portfolio
  • Partner with Construction Managers on scope disputes, field interpretation, and back-charge administration
  • Work with Project Controls to align payment terms with cash flow projections and cost reporting
  • Support project finance teams on JV interfaces, lease wrapper provisions, and colocation cash flow timing
  • Build the contracts management function from the ground up-tooling, workflows, approval routing, and document management integration (Procore, ACC, or equivalent)
  • Develop contract templates for recurring use cases and establish a contracts risk register with escalation protocols tied to project milestones
  • Build commercial and contracts literacy across the construction management team

Qualifications
  • 8+ years in construction contract management on heavy civil, industrial, or mission-critical infrastructure (datacenter, semiconductor fab, power generation, or similar)
  • Direct experience negotiating EPC, GMP, and design-build contracts exceeding $200M in construction value
  • Deep knowledge of AIA, ConsensusDocs, or FIDIC contract forms and owner-favorable modifications
  • Demonstrated experience with performance bond and surety programs, including bond claims and alternative security structures
  • Strong understanding of how contracts interface with project schedules (P6/MS Project), cost reporting, and earned value
  • Experience managing contractor disputes, claims, and enforcement actions including termination scenarios
  • Bachelor's degree in Construction Management, Engineering, Business, Legal Studies, or equivalent

Preferred
  • Datacenter or hyperscale infrastructure experience
  • Familiarity with Procore, ACC, or enterprise procurement systems (Ariba, Coupa, NetSuite)
  • Exposure to project finance structures and construction loan disbursement mechanics
  • Experience with modular or prefabricated construction delivery
  • Developer-side or owner's rep background
  • JD, paralegal certification, or formal construction law training

Salary & Benefits
The base salary range for this position is $180,000 - $200,000 per year, depending on experience, skills, qualifications, and location. This range represents our good faith estimate of the compensation for this role at the time of posting. Total compensation may also include equity in the form of stock options.
