The Opportunity

We are looking for an accomplished Assistant Vice President to join our Company Secretarial team as part of our financial services business in Montreal.

As part of our teamyou will:

  • proactive and attentive relationship management;
  • attending to a broad range and high volume of daily client requests;
  • overseeing daily operations with a view to maintaining workflow and applying high corporate governance standards in all areas;
  • will be responsible for corporate secretarial duties which will include, but are not limited to, organising, attending and leading weekly, monthly, ad-hoc and tri-annual board meetings; preparing minutes to a meticulous standard and ensuring all matters arising from suchmeetings are actioned and completed appropriately;
  • will be required to deliver a high level of client service while ensuring compliance withinternal policies and procedures;
  • will be required to be able to understand and review corporate requests, review documentation, assist with KYC compliance and maintain dialogue with legal counsel, the investment manager and directors of the client companies

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:

  • must be able to work independently, thrive at multi-tasking and have strong problem solving, quantitative and analytical skills;
  • will have a law degree from a reputable institution and/or have received a CharteredSecretary qualification or otherwise, have at least 5 years' experience specifically as acorporate secretarial professional;
  • previous minute taking experience is essential and knowledge of the alternative investment industry will be an advantage;
  • If an otherwise suitable candidate does not meet the above requirements then a commitment to undertake a course to gain such a Chartered Secretary qualification may be required. The interview process may include a test to assess writing skills.

Nous recherchons un vice-president adjoint accompli pour se joindre a notre equipe Secretariat d'entreprise dans le cadre de notre activite de services financiers a Montreal.

En tant que membre de notre equipe, vous devrez:

  • exercer une gestion proactive et attentive des relations;
  • repondre a un large eventail et a un volume eleve de demandes quotidiennes de clients;
  • superviser les operations quotidiennes en vue de maintenir le flux de travail et d'appliquer des normes elevees de gouvernance d'entreprise dans tous les domaines;
  • etre responsable des taches de secretariat d'entreprise, qui comprendront, entre autres: l'organisation, la participation et la direction des reunions hebdomadaires, mensuelles, ponctuelles et triennales du conseil d'administration; la preparation des proces-verbaux selon une norme meticuleuse et la garantie que toutes les questions decoulant de ces reunions sont traitees et achevees de facon appropriee;
  • offrir un service a la clientele de haut niveau, tout en assurant le respect des politiques et des procedures internes;
  • etre en mesure de comprendre et d'examiner les demandes des entreprises, d'examiner la documentation, d'aider a la conformite des mesures de connaissance de la clientele et de maintenir le dialogue avec le conseiller juridique, le gestionnaire de placements et les directeurs des entreprises clientes.

En plus d'une autonomie et de normes en matiere d'ethique incontestablement elevees, le candidat ideal possedera les caracteristiques suivantes:

  • doit etre en mesure de travailler de maniere autonome, de s'epanouir dans l'accomplissement de taches multiples et d'avoir de solides competences quantitatives et analytiques en matiere de resolution de problemes;
  • aura un diplome en droit d'une institution reputee ou aura recu une qualification de secretaire agree ou autre et comptera au moins cinqans d'experience specifiquement en tant que professionnel du secretariat d'entreprise;
  • une experience prealable de tenue des proces-verbaux est essentielle et une connaissance du secteur des placements non traditionnels sera un atout;
  • Si un candidat qui a autrement toutes les qualifications requises ne satisfait pas aux exigences ci-dessus, un engagement a suivre un cours pour obtenir une telle qualification de secretaire agree peut etre requis.
