L’adjoint(e) juridique soutient les fonctions juridiques et de gouvernance corporative du bureau de gestion de patrimoine familial (Family Office) en assurant la tenue des registres corporatifs, la coordination de la documentation juridique et le maintien à jour des dossiers corporatifs. Ce poste travaille en étroite collaboration avec les équipes internes, les conseillers juridiques externes, les comptables et les institutions financières.

Principales responsabilités
  • Tenir à jour les livres de procès-verbaux et les registres corporatifs obligatoires.
  • Préparer et coordonner les résolutions annuelles ainsi que les déclarations et dépôts corporatifs requis.
  • Maintenir les registres corporatifs des administrateurs, dirigeants, actionnaires et titres de participation.
  • Coordonner l’exécution des documents juridiques et assurer le suivi des signatures requises.
  • Maintenir et mettre à jour les organigrammes corporatifs.
  • Organiser et gérer les ententes juridiques ainsi que les dossiers corporatifs.
  • Assurer la liaison avec les conseillers juridiques externes et autres professionnels-conseils.
  • Participer aux constitutions de sociétés, réorganisations, financements, acquisitions et autres transactions corporatives.
  • Coordonner les recherches corporatives, l’obtention de certificats et la documentation de conformité.
  • Maintenir les systèmes de classement juridique, tant électroniques que physiques.
  • Soutenir les réunions du conseil d’administration en préparant la documentation corporative et les documents de réunion.
  • Participer à des projets spéciaux liés aux affaires juridiques et à la gouvernance corporative, selon les besoins.
Qualifications
  • Diplôme d’études collégiales ou universitaires en administration juridique, techniques juridiques (parajuridique) ou dans un domaine connexe.
  • De 3 à 5 années d’expérience en droit corporatif, en administration juridique ou dans un rôle similaire.

The Legal Assistant supports the legal and corporate governance functions of the Family Office by maintaining corporate records, coordinating legal documentation, and ensuring corporate records remain accurate and up to date.
