Litigation Of Counsel – Mergers & Acquisitions Disputes
Locations: Atlanta, GA | Baltimore, MD | Boston, MA | Miami, FL | New York, NY | Philadelphia, PA | Raleigh, NC | Short Hills, NJ | Wilmington, DE | Washington, DC
Compensation: $400,000–$525,000

Direct Counsel is seeking an Of Counsel to join the Business & Commercial Litigation Practice of a leading Am Law firm. This opportunity is ideal for an attorney with 8+ years of experience handling sophisticated post-closing M&A disputes, including indemnification claims and representations and warranties (R&W) insurance litigation.

The ideal candidate has extensive experience litigating complex business disputes arising from mergers and acquisitions, a deep understanding of transaction documentation, and the ability to lead litigation strategy while mentoring junior attorneys and managing client relationships.

Responsibilities
  • Represent clients in complex post-closing M&A disputes, including indemnification claims and representations and warranties (R&W) insurance litigation.
  • Analyze and interpret purchase agreements and other M&A transaction documents in connection with high-stakes commercial disputes.
  • Develop and execute litigation strategy through all phases of litigation, arbitration, mediation, and settlement negotiations.
  • Draft and review pleadings, motions, briefs, memoranda, discovery requests and responses, and other litigation filings.
  • Collaborate with damages experts and other consultants to develop claims and defenses.
  • Conduct and defend depositions, oversee fact development, and manage complex discovery efforts.
  • Serve as a primary point of contact for clients while providing strategic, business-focused legal advice.
  • Supervise and mentor associates and help manage litigation teams on sophisticated matters.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • 8+ years of commercial litigation experience at a leading law firm.
  • Significant experience handling post-closing M&A indemnification disputes and/or representations and warranties insurance litigation.
  • Strong understanding of M&A transaction documentation and damages analysis.
  • Superior legal research, writing, analytical, and advocacy skills.
  • Excellent communication, client management, and leadership abilities.
  • Strong project management skills with the ability to independently manage complex matters.
  • Active bar admission in the jurisdiction where applying.
Compensation & Benefits
  • Competitive base salary of $400,000–$525,000, depending on experience and location.
