Job description

Direct Counsel is partnering with an AmLaw 10 law firm to identify a talented M&A Clearance Team Associate Attorney (2–4 years of experience) to join its Antitrust / Competition practice in Chicago, New York, or Washington, DC.

This position sits within a specialized Mergers & Acquisitions Clearance Team that supports busy corporate, private equity, and antitrust practices by handling regulatory merger clearance matters. The role focuses on antitrust regulatory compliance related to M&A transactions, including filings under the Hart-Scott-Rodino Antitrust Improvements Act (HSR Act) and coordination with international merger control teams.

Key Responsibilities
  • Assess HSR reportability for mergers and acquisitions transactions

  • Prepare and manage HSR filings and related documentation

  • Coordinate filing preparation with clients, corporate deal teams, and opposing counsel

  • Assist with international merger control compliance in coordination with global teams

  • Support responses to Second Requests and other regulatory inquiries

  • Conduct substantive antitrust analysis of competitor transactions

  • Provide general antitrust counseling in connection with M&A matters

Qualifications
  • 2–4 years of experience in antitrust/competition law, particularly related to M&A clearance

  • Experience with HSR filings and merger control processes strongly preferred

  • Background in regulatory corporate M&A or experience working with private equity clients is a plus

  • Excellent drafting, analytical, and communication skills

  • Strong attention to detail and ability to manage deadlines in a fast-paced environment

  • Outstanding academic credentials

  • J.D. required and admission to the relevant state bar (or eligibility to obtain admission)
