Position Responsibilities:
Securities Filings, Compliance
- Assist in the preparation and review of SEC filings including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings, including coordinating document collection and verification for reports.
- Support compliance with U.S. securities laws, SEC regulations, and stock exchange listing standards.
- Maintain disclosure controls and procedures documentation.
- Track regulatory developments and assist with implementation of new compliance requirements.
- Work closely with finance, accounting, investor relations, and external counsel during filing cycles.
Corporate Governance
- Support preparation of board and committee materials related to securities and disclosure matters.
- Assist with annual shareholder meetings and proxy processes.
- Support internal compliance initiatives and training programs.
- Work with the paralegal to maintain corporate records and governance documentation.
Other
- Draft, review, and negotiate commercial contracts.
Qualifications:
- J.D. from an accredited law school; licensed to practice in Texas or eligible for in-house counsel registration.
- 3–5 years of legal experience, preferably in a public company or law firm serving public clients.
- Strong knowledge of securities law, corporate governance, and general business law.
- Excellent judgment, communication, and organizational skills.
- Ability to work independently and manage multiple priorities.
