Corporate Transactions, Capital Markets & M&A Senior Associate Attorney

Direct Counsel is seeking a Corporate Transactions, Capital Markets & M&A Senior Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois.

This is an outstanding opportunity for an attorney with 4–6 years of corporate transactional experience to join a nationally recognized practice representing public and private companies, private equity sponsors, and strategic investors in sophisticated mergers and acquisitions, capital markets transactions, and other complex corporate matters.

Key Responsibilities
  • Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.

  • Advise public and private companies on capital markets transactions and general corporate matters.

  • Draft, review, and negotiate purchase agreements, transaction documents, and ancillary agreements.

  • Conduct legal due diligence and manage transactions from initial structuring through closing.

  • Advise clients on corporate governance, transaction structuring, and risk management.

  • Collaborate with multidisciplinary legal teams to deliver comprehensive solutions for complex corporate transactions.

Qualifications
  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.

  • 4–6 years of corporate transactional experience at a law firm.

  • Significant mergers and acquisitions (M&A) experience is required.

  • Experience with capital markets transactions is preferred.

  • Strong drafting, negotiation, analytical, and project management skills.

  • Excellent written, verbal, and interpersonal communication abilities.
