Job description
The Deputy General Counsel serves as a key member of the Legal leadership team and acts as a strategic partner to the General Counsel. This role requires a highly versatile, business-oriented attorney with broad expertise across corporate, governance, privacy, employment, regulatory, and transactional matters, and a proven track record of delivering improved legal services at lowered costs. The successful candidate will serve as a trusted advisor to executive leadership and the Board of Directors and provide leadership across multiple legal and compliance functions as the company increases cost discipline and

This position is ideal for a seasoned legal executive who thrives in complex, fast-paced environments and brings a "Swiss Army knife" approach to legal leadership; capable of managing virtually any issue across the enterprise and tasked with doing so outside of day-to-day commercial contracting and

Executive Leadership
- Provide strategic and business oriented legal advice to executive leadership on enterprise risks, governance, compliance, and business initiatives through turnaround process.
- Partner with business leaders to identify risks and develop practical, business-focused solutions in changing business conditions.
- Advise executive leadership on enterprise digital and technology transformation initiatives, ensuring legal, contractual, and risk frameworks keep pace with new systems, platforms, and ways of working.
Legal Strategy
- Lead strategic rebuild across legal functions optimizing the delivery of legal services and operations consistent with best practice and aligned to future enterprise needs.
- Design and implement outsourced and lower-cost legal delivery models, optimizing use of alternative legal service providers and scaled resources to reduce cost while preserving quality and control over core legal work.
- Oversee departmental operations, including budgeting, resource allocation, outside counsel management, and organizational planning.
- Lead and manage legal, privacy, and related teams, fostering a culture of accountability, collaboration, and excellence along with a deep drive for self-improvement.
Corporate Governance
- Support the General Counsel in all Board of Managers and committee matters.
- Serve as backup Corporate Secretary, including preparation of board materials, resolutions, minutes, and governance documentation.
- Advise on corporate governance best practices, fiduciary duties, delegated authorities, and subsidiary governance.
- Advise on governance frameworks and Board reporting structures appropriate to private ownership, including transitions in ownership and governance structure.
- Maintain and oversee complex subsidiary and intercompany structures and entity management. Continuously develop related internal service models to improve delivery at a lower cost.
Data Governance & Privacy & AI
- Lead enterprise data governance initiatives, including data inventories, remediation efforts, and data cleanup programs.
- Serve as a strategic leader on privacy matters, with deep knowledge of global privacy laws and US state-specific requirements, including California and other emerging state privacy regimes.
- Advise on privacy-by-design principles, data retention, incident response, and information governance.
Emerging Technologies & AI
- Lead AI integration initiatives across the enterprise, applying deep knowledge of AI systems and technologies and related privacy and security matters.
- Develop, customize, and deploy cost-efficient AI, ML, and related technologies in partnership with business and technical stakeholders.
- Develop and oversee policies and frameworks related to artificial intelligence governance and responsible AI use.
Employment & Regulatory Matters
- Provide sophisticated advice on employment and labor matters, including employee relations, investigations, reductions in force, accommodations, wage and hour issues, executive compensation, and compliance.
- Partner closely with Human Resources to support enterprise workforce strategies and employment-related initiatives.
- Advise on regulatory and compliance matters affecting the organization and support internal investigations as needed.
- Lead remediation of existing HR legal documentation and compliance gaps, including employment agreement standardization, compliance audits, and policy/handbook updates.
Transactions, Finance & Corporate Development
- Lead and support mergers, acquisitions, divestitures, corporate restructurings, and strategic transactions.
- Advise on corporate financings, debt transactions, and related financing arrangements.
- Prior experience working with sophisticated credit facilities in complex settings is strongly preferred.
- Support diligence efforts and integration planning for acquisitions and organizational changes.
- Manage legal aspects of complex organizational and subsidiary structures.
Enterprise Initiatives
- Provide legal support for environmental, social, and governance (ESG) initiatives and reporting programs.
- Advise on equal employment opportunity (EEO) compliance and related legal risk, inclusive workplace culture and talent practices, and other regulatory and legal considerations affecting workforce policy. Partner with Communications and executive leadership on sensitive public relations and crisis management matters.

- Accountable for strategic design, execution, and collective results within the scope of their duties when collaborating with teammates that report to the Deputy General Counsel.

- Juris Doctor (J.D.) degree from an accredited law school.
- Active membership in at least one U.S. state bar.
- 12+ years of progressively responsible legal experience, including both law firm and significant in-house experience.
- 10+ years of leadership experience.
- Expertise in designing, deploying, and managing lower-cost, technology-enabled legal delivery models, including alternative legal service providers (ALSPs), legal operations tools, and outside counsel spend optimization.
