Job description

Alto is advancing Canada’s high‑speed train project between Quebec City and Toronto. By supporting this initiative, we aim to enhance quality of life, strengthen community ties, and boost economic growth.

Role

The Vice President, Legal Affairs leads the integration of Alto's legal teams—Transactions, Development, Litigation, and Ethics & Compliance—into a unified, enterprise‑wide legal function. Reporting to the Chief Legal & Real Property Assets Officer, the position oversees multiple legal domains to ensure the effective delivery of legal services, robust risk management, and adherence to regulatory frameworks. The VP serves as a senior legal advisor to executive leadership and plays a critical role in enabling complex infrastructure projects, public‑private partnerships (P3s), and development initiatives.

Responsibilities
  • Provide overall leadership for the Legal Affairs function, covering Transactions, Development, Litigation, and Ethics & Compliance.
  • Lead and align Senior Directors to ensure strong performance and collaboration across legal disciplines.
  • Set strategic priorities, governance frameworks, and resource allocation for the legal function.
  • Advise executive leadership on complex legal matters (infrastructure/P3s, financing, real estate, Indigenous, environmental, regulatory risks).
  • Ensure legal strategies support business decisions and align with corporate objectives and risk appetite.
  • Oversee legal aspects of major initiatives, including partnerships, contracts, and strategic transactions.
  • Ensure consistency, quality, and escalation of complex or high‑risk legal matters.
  • Manage relationships and collaboration with internal teams, partners, governments, and external legal counsel.
  • Lead the ethics and compliance framework, ensuring regulatory alignment and promoting a culture of integrity.
  • Identify and mitigate enterprise legal risks while overseeing governance, investigations, external law firms, and development of high‑performing legal teams.
Requirements
  • Licensed to practice law in Canada and a member in good standing in Québec or Ontario.
  • Minimum 15 years of legal experience, including at least 7 years in people‑leadership roles with direct supervision.
  • Deep expertise in complex legal domains such as infrastructure/major projects, P3, project financing, and/or M&A.
  • Proven ability to lead multidisciplinary teams and operate effectively in complex, multi‑stakeholder environments.
  • Strong executive presence, sound judgment, influence, and strategic thinking capabilities.
  • Demonstrated ability to perform and lead in fast‑paced, evolving environments, maintaining focus and delivering results.
  • Decisive leadership style, driving execution, accountability, and momentum across large‑scale initiatives.
