Position Overview

We are seeking a highly analytical, commercially driven, and legally astute Vice President (VP), Escrow Product Management to assist in leading the growth, structuring, and financial performance of our Escrow and DACA product suite globally. Reporting directly to the Head of Escrow, you will contribute towards the product’s P&L, driving both fee‑based revenue and deposit balance growth and ensuring that product meets all deal execution timelines.

In this role, you will sit at the intersection of product management, deal structuring, and client coverage. You will partner closely with Relationship Managers (Coverage), Operations, and Legal Counsel to structure, negotiate, and execute complex, bespoke escrow transactions for corporate clients, private equity firms, and financial institutions. The ideal candidate possesses a deep understanding of transaction banking, corporate trust, or escrow services, combined with the technical expertise to navigate complex legal agreements.

Key Responsibilities 1. Deal Structuring & Coverage Partnership
  • Bespoke Deal Structuring: Partner closely with Coverage, Investment Banking, Internal and external legal counsel to structure complex escrow arrangements, including M&A transactions, private placements, litigation settlements, project finance, and regulatory escrows.
  • Legal & Documentation Alignment: Collaborate with internal Legal and Operations teams to draft, review, and negotiate customized Escrow Agreements, ensuring they meet client needs while protecting the bank’s risk profile.
  • Sales Enablement: Act as a product Subject Matter Expert (SME) for Coverage teams, providing technical guidance, structuring advice, and participating in high‑value client pitches and RFP responses.
2. Product Strategy & Lifecycle Management
  • Product Roadmap: Assist with the strategic roadmap for the Escrow product suite, identifying opportunities to digitize and scale the offering.
  • Operational Efficiency: Work with Operations stakeholders to assist in the standardization of documentation templates, streamline onboarding workflows, and automate manual transaction controls to reduce time‑to‑market for new deals.
3. Risk, Governance & Compliance
  • Regulatory Compliance: Ensure all escrow and DACA transactions comply with relevant federal, state, and international regulations.
  • Risk Mitigation: Implement robust risk management practices, ensuring proper operational controls, transaction monitoring, and strict adherence to Know Your Customer (KYC) and Anti‑Money Laundering (AML) guidelines.
  • Fiduciary Governance: Maintain a strong control environment, ensuring all escrow accounts are managed in strict accordance with governing escrow instructions.
  • Escrow and DACA payment lifecycle: Ensure all escrow and DACA payments are correctly documented and actioned by appropriate personnel.
  • Client communication: Act as primary contact for both clients and internal teams ensuring timely receipt of information and payment processing.
4. Operational Oversight

Responsibilities related to day‑to‑day operational coordination and delivery of escrow and DACA services.

Qualifications & Experience
  • Education: Bachelor’s degree in Finance, Economics, Business, or a related field; a Juris Doctor (JD), MBA, or equivalent advanced degree is highly preferred.
  • Experience: 7+ years of experience in Transaction Banking, Corporate Trust, Escrow Services, or a specialized legal/structuring role.
  • Technical Expertise: Deep understanding of Capital market transactions that give rise to escrow and DACA structures, transaction flows, and the legal mechanics of Escrow and DACA Agreements, SPAs (Share Purchase Agreements).
  • Financial Acumen: Proven track record of contributing to a product P&L, with a strong grasp of balance sheet drivers, fee structures, and pricing strategies.
  • Collaboration & Influence: Exceptional stakeholder management skills, with a demonstrated ability to build consensus across Coverage, Legal, Risk, Operations, and Technology.
  • Communication: Superb written and verbal communication skills, with the ability to translate complex legal and structural concepts into clear, commercial solutions for clients and internal stakeholders.

Salary Range

The expected base salary for this New York, NY, United States‑based position is $125,000–$250,000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year‑end.
