THE ROLE

We are seeking a proactive and detail-oriented Manager, Business and Legal Affairs to join our Legal Department. The successful candidate will support a small in-house legal team serving Legends and its diverse business lines, including hospitality, venue management, merchandise, sales and marketing, attractions, project development, and corporate operations. The ideal candidate must have strong communication skills, sound judgment, and the ability to manage multiple priorities in a fast-paced environment with accuracy and professionalism.

ESSENTIAL DUTIES AND RESPONSIBILITIES

General:

  • Administer overall legal strategy and governance.
  • Proactively provide solutions to key stakeholders/lines of business.
  • Support senior legal staff members as needed with special projects, liquor licensing, and other legal matters.
  • Support transactional due diligence and provide legal analysis in connection with potential mergers, acquisitions, partnerships, and other strategic transactions as needed.

Contracts:

  • Draft, negotiate, analyze, summarize, or oversee to completion various types of agreements, including but not limited to hospitality agreements, venue level agreements, merchandise contracts, sponsorship agreements, sales and marketing agreements.
  • Prepare and negotiate location agreements, subcontractor and licensing agreements, independent contractor, temp staffing, consulting and services agreement forms.
  • Support the negotiation and documentation of vendor and supplier relationships at the venue level, including any purchasing and procurement agreements.
  • Draft and negotiate IT agreements, including payment processing agreements, order forms, and DPAs.
  • Ensure compliance with contractual obligations and advise internal stakeholders on contract interpretation.
  • Advise on intellectual property matters, including trademark usage, IP licensing, advertising/marketing matters, and brand protection, particularly in connection with licensing, sponsorship, and white-label arrangements.

Administrative and Miscellaneous:

  • Efficiently manage department workflow and day-to-day tasks or assignments.
  • Efficiently research items related to Legends' operations as needed (e.g. emerging laws, local laws, best practices) and concisely provide internal memos summarizing applicable issues and offer recommendations based on analysis.
  • Evaluate the need for and periodically draft and revise Company policies.
  • Assist with filing and administration of various statutory and local license requirements.

QUALIFICATIONS

Education and/or Experience

  • J.D. from an accredited law school; licensed to practice in at least one U.S. jurisdiction.
  • 3-5 years of experience as a practicing attorney, ideally with transactional and in-house experience.
  • Experience drafting, reviewing, and negotiating commercial agreements, preferably in hospitality, venue management, sponsorship, merchandise, licensing, and other service contracts.
  • Preferred experience and background on emerging laws such as GDPR, PCI Compliance, and liquor license compliance.
  • Familiarity with intellectual property concepts, including trademark protection, IP licensing, franchise/licensing agreements and brand management, is preferred.
  • M&A due diligence is a plus.

Skills and Abilities

  • Ability to work efficiently and multitask in an unstructured environment with frequent interruptions and demanding deadlines, including knowing when and how to escalate issues.
  • Ability to effectively communicate and offer legal counsel to all internal corporate departments and specific venues.
  • Ability to reinterpret legal issues in a compelling fashion for a business audience and maintain strong working relationships with demanding internal clients.
  • Outstanding negotiation and writing skills, with a strong ability to draft and review legal documents, analyze complex issues, and provide practical, business-oriented solutions.

COMPENSATION

Competitive salary between $140,000-$150,000, commensurate with experience, and a generous benefits package that includes medical, dental, vision, life and disability insurance, paid vacation, and 401k plan.

WORKING CONDITIONS

Location: New York City, Frisco, TX, or Chicago, IL-We're flexible on where you're based, with periodic travel (around once per quarter) to our headquarters.
