Job description

Technology Transactions Associate Attorney
Location: San Francisco, CA
Compensation: $260,000–$365,000

Direct Counsel is seeking a Technology Transactions Associate to join the Technology Transactions Practice of a premier Am Law firm in San Francisco. This opportunity is ideal for an attorney with 3–6 years of experience handling sophisticated intellectual property and commercial technology transactions for innovative companies across emerging and established industries.

The ideal candidate has substantial experience negotiating complex technology agreements and advising clients on intellectual property issues in connection with commercial transactions, strategic partnerships, and corporate deals. This role offers the opportunity to work with leading technology companies, high-growth startups, and emerging innovators across cutting-edge sectors.

Responsibilities
  • Draft, review, and negotiate a broad range of commercial technology agreements, including:
    • Software, technology, and content license agreements.
    • Software and technology development agreements.
    • Professional services agreements.
    • Manufacturing, supply, distribution, and collaboration agreements.
    • E-commerce, media, and entertainment transactions.
  • Advise clients on intellectual property ownership, licensing, commercialization, and technology-related legal issues.
  • Support mergers and acquisitions, venture capital financings, and other strategic corporate transactions by conducting IP and commercial contract due diligence and drafting transaction-related agreements.
  • Collaborate with attorneys across corporate, intellectual property, privacy, and litigation practices on complex technology transactions.
  • Provide practical, business-oriented legal advice to technology companies at all stages of growth.
  • Manage multiple sophisticated matters while maintaining strong client relationships.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • 3–6 years of technology transactions experience at a leading law firm.
  • Strong knowledge of intellectual property law and commercial technology transactions.
  • Significant drafting and negotiation experience involving software licenses, technology development agreements, commercial agreements, and IP-related transactions.
  • Experience supporting M&A and equity financing transactions, including IP due diligence and transaction documentation.
  • Excellent written, verbal, analytical, and negotiation skills.
  • Strong project management abilities and a collaborative, client-focused approach.
  • California Bar admission preferred; admission in another U.S. jurisdiction will also be considered.
