Technology Transactions Attorney Associate
Location: Palo Alto, CA

Overview
Direct Counsel is seeking a Technology Transactions Attorney with 2–5 years of experience to join a highly regarded law firm in Palo Alto. This is an opportunity to work on sophisticated commercial and intellectual property matters for clients ranging from innovative startups to established global enterprises.

Position Summary
The ideal candidate will have a background in high technology commercial transactions and intellectual property licensing, with experience drafting and negotiating complex agreements. Substantive experience is preferred in areas such as:

  • Artificial intelligence counseling and deployments

  • Software and content licensing

  • Partnering and distribution agreements

  • Application hosting and cloud hosting services

  • Intellectual property development and technology transfer relationships

This role does not involve intellectual property litigation or prosecution/registration. It may, however, include advising on transactional privacy, compliance, and regulatory matters—particularly those affecting AI—as well as open source software counseling.

Key Responsibilities

  • Draft, review, and negotiate complex technology and IP agreements customized to client needs

  • Provide commercially minded, pragmatic legal advice to technology-driven businesses

  • Stay current on legal and regulatory developments impacting emerging technologies

  • Manage multiple projects in a fast-paced environment, both independently and collaboratively

  • Contribute to internal training and knowledge-sharing within the practice group

Qualifications

  • J.D. from an accredited law school and active membership in the California Bar (or eligibility to waive in)

  • 2–5 years of relevant experience in technology transactions and IP licensing

  • Exceptional analytical, problem-solving, and drafting skills

  • Proven ability to handle competing priorities in a high-energy environment

  • Commitment to ongoing professional growth and learning

  • Salary Range: $235,000–$365,000 annually (based on location, experience, and skill set)
