Summary

The Senior Legal Assistant provides administrative, operational, and organizational support to the General Counsel and Legal Department. This role is responsible for maintaining legal records, coordinating contracts and corporate documents, supporting board and governance administration, processing legal invoices, and assisting with day-to-day legal operations. The Senior Legal Assistant works closely with internal stakeholders, outside counsel, and vendors to help ensure the Legal Department operates efficiently and effectively while maintaining accurate records and supporting compliance obligations.  

What You'll Do

Legal Administration & Document Management

  • Maintain and organize legal files, corporate records, minute books, and document repositories
  • Prepare, proofread, format, and distribute legal documents and correspondence
  • Coordinate document execution, routing, signatures, and record retention.
  • Maintain standard legal templates and document libraries
  • Track legal department deadlines and administrative deliverables
  • Assist with document management within Diligent and other legal systems 

Corporate Governance Support

  • Coordinate logistics for Board of Directors and committee meetings.
  • Compile and distribute board materials and meeting documents.
  • Maintain corporate governance records and supporting documentation.
  • Assist with annual stockholder meeting administration and record retention.
  • Support preparation and organization of meeting materials, resolutions, and corporate records. 

Contract Administration

  • Maintain the contracts database and filing systems.
  • Monitor contract renewal and termination dates
  • Organize executed agreements and supporting documentation
  • Assist with administration and tracking of NDA's and other routine agreements.
  • Coordinate contract recordkeeping and document retrieval requests. 

Legal Operations Support

  • Process legal department invoices and assist with vendor administration.
  • Support legal budget tracking and quarterly accrual reporting.
  • Maintain legal department tools, systems, and subscriptions.
  • Coordinate administrative matters with outside counsel and legal service providers.
  • Assist with preparation of reports, presentations, and departmental communications.  

Cross-Functional Support

  • Assist internal departments with legal document requests and record retrieval
  • Coordinate information gathering for audits, compliance activities, and special projects
  • Support Legal Team initiatives aimed at improving organization and operational efficiency
  • Perform administrative duties and special projects assigned

What We're Looking For

  • Undergraduate degree, paralegal certificate, or equivalent combination of education and professional experience. 
  • Minimum of 2-4 years of experience in a legal assistant, legal administrative assistant, contract administration or related support role 
  • Experience supporting attorneys, executives, or corporate governance activities preferred  
  • Strong analytical and problem-solving skills with the ability to identify and solve difficult problems with effective solutions.
  • Superior listening, verbal and written communication skills with the ability to express oneself clearly and succinctly in a variety of communication settings and styles.
  • Strong proficiency with Microsoft Office products including Word, Excel, and PowerPoint. 

Supervisory Responsibility

This position does not currently have supervisory responsibilities

Work Environment

This job operates in a professional office environment.  This role routinely involves standard office equipment such as computers, phones, photocopiers, filing cabinets, and fax machines.

Physical Demands

The employee is occasionally required to sit; climb or balance; and stoop, kneel, crouch or crawl. The employee must frequently lift and/or move up to ten (10) pounds and occasionally lift and/or move up to twenty-five (25) pounds.  Specific vision abilities required by this job include close vision, distance vision, color vision, peripheral vision, depth perception and ability to adjust focus.
