Job description

Finance Associate Attorney

Location: New York, New York

Direct Counsel is seeking a Finance Associate to join the nationally recognized Finance Practice Group of a premier global law firm in New York. This is an excellent opportunity for an associate with strong leveraged finance, commercial lending, or private credit experience to work on sophisticated domestic and cross-border financing transactions for leading financial institutions, private credit funds, and corporate borrowers.

The practice handles complex and fast-paced financing transactions across a broad range of structures, including secured lending, acquisition finance, structured finance, and distressed situations, often in collaboration with multidisciplinary teams across tax, corporate, regulatory, and other practice areas.

Responsibilities
  • Represent banks, private credit lenders, and institutional investors in complex financing transactions
  • Structure, draft, and negotiate documentation for:
    • Senior secured credit facilities
    • Mezzanine and subordinated debt transactions
    • Leveraged finance and acquisition financings
    • Structured finance transactions
    • Loan workouts and restructurings
  • Support cross-border and domestic lending transactions from inception through closing
  • Coordinate and manage key components of financing transactions, including documentation and execution
  • Collaborate with tax, corporate (M&A), regulatory, and other specialist teams on transaction structuring
  • Advise clients on risk allocation and deal structuring issues
  • Participate in negotiations with borrowers, sponsors, and other lenders
Qualifications
  • J.D. from an accredited law school with strong academic credentials
  • 3–5 years of law firm experience in finance transactions
  • Experience representing banks, private credit funds, or institutional lenders required
  • Strong background in leveraged lending, commercial lending, and/or private credit preferred
  • Experience with structured finance, asset-backed finance, warehouse facilities, or royalties financing a plus
  • Strong drafting, negotiation, and analytical skills
  • Ability to manage components of complex financing transactions independently
  • Excellent communication and client relationship skills
  • Strong teamwork, initiative, and problem-solving abilities
  • Admission to the New York State Bar or eligibility to waive in
