Job description

CORPORATE COUNSEL
As a Corporate Counsel, you will provide solutions-based counseling to multiple internal clients on a wide variety of complex legal and business issues.
RESPONSIBILITIES:
  • Own securities law compliance, corporate governance matters, and board support
  • Modernize board processes, committee charters, and governance policies
  • Architect and implement compliance framework for securities laws and regulations (1933 Act, 1934 Act, Reg. D Offerings, Rule 701, insider trading and Blue Sky Compliance)
  • Collaborate with the Finance and Accounting teams regarding matters related to internal controls and audit compliance
  • Manage securities offerings, stock financings, resales of restricted securities, and related stockholder relations matters
  • Advise on equity compensation matters, including the administration of multiple equity incentive plans with stock options, RSUs, and restricted stock awards
  • Negotiate corporate transactions in close cooperation with the company's in-house finance team
  • Draft, negotiate, and review a broad range of commercial agreements

BASIC QUALIFICATIONS:
  • JD from an ABA-accredited law school
  • 5+ years of corporate law experience

PREFERRED SKILLS AND EXPERIENCE:
  • In-house counsel experience
  • Ability to register as in-house counsel in California
  • Experience working for a top-tier law firm
  • Experience representing mature private and public companies
  • Experience with securities law compliance
  • Experience with complex corporate structures and transactions
  • Ability to adapt and be responsive to rapid developments and changes in direction as well as work with technologies, products, and on novel legal issues

ADDITIONAL REQUIREMENTS:
  • Must be admitted to the bar, in good standing, in at least one U.S. State
  • This position is based in Hawthorne, CA and requires being onsite - remote work not considered
  • Must be able to work extended hours and weekends as needed

COMPENSATION AND BENEFITS:
Pay range:
Counsel: $190,000.00 - $245,000.00/per year
Your actual level and base salary will be determined on a case-by-case basis and may vary based on the following considerations: job-related knowledge and skills, education, and experience.
Base salary is just one part of your total rewards package at SpaceX. You may also be eligible for long-term incentives, in the form of company stock, stock options, or long-term cash awards, as well as potential discretionary bonuses and the ability to purchase additional stock at a discount through an Employee Stock Purchase Plan. You will also receive access to comprehensive medical, vision, and dental coverage, access to a 401(k) retirement plan, short and long-term disability insurance, life insurance, paid parental leave, and various other discounts and perks. You may also accrue 3 weeks of paid vacation and will be eligible for 10 or more paid holidays per year. Employees accrue paid sick leave pursuant to Company policy which satisfies or exceeds the accrual, carryover, and use requirements of the law.
