We are seeking an experienced Securities Partner to join our sophisticated corporate practice.
This partner will advise clients on a broad range of securities matters, including public and private offerings, regulatory compliance, and corporate governance.
The role is well-suited for a highly driven attorney with a strong client base and a desire to grow a dynamic securities practice within a collaborative, entrepreneurial firm environment.
Key Responsibilities:
Structure and lead public and private securities offerings, including equity and debt transactions
Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements
Counsel clients on corporate governance, SEC regulations, and securities law compliance
Represent issuers, investors, and financial institutions in capital markets transactions
Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications
Drive business development initiatives and maintain strong client relationships
Mentor and supervise associates and contribute to the growth of the corporate and securities practice
Qualifications:
J.D. from an accredited law school and active Florida Bar admission (or ability to waive in)
Extensive experience (typically 8+ years) in securities and capital markets law
Portable book of business strongly preferred
Deep knowledge of federal securities laws and SEC regulations
Proven ability to manage complex transactions and client relationships
Strong drafting, negotiation, and analytical skills
