Job description

Provides legal counsel and advice to the corporation and its subsidiaries to ensure their effective operation in accordance with federal, state and local Laws.

Essential Functions

  • Provides legal advice on securities, corporate governance, and corporate law matters, with a focus on securities law reporting, compliance, and stock exchange listing standards
  • Implements the highest corporate governance standards and structure
  • Provides legal support for all SEC filings and reporting activities
  • Supports the Board of Directors and Board Committees, including meeting prep and support and annual stockholder meeting
  • Provides legal support for IR, including investor outreach
  • Provides legal support in financing and capital markets transactions.
  • Writes, reviews, and advises on legal contracts and agreements.
  • Represents the organization in legal matters.
  • Performs other duties as assigned.

Minimum Education

Juris Doctorate Degree from an A.B.A. accredited law school and admission to the bar.

Minimum Experience

Twelve (12) years' experience as an attorney with at least six (6) years' experience in securities law compliance, with a strong background in Securities Exchange Act of 1934 reporting, corporate governance, and stock exchange listing standard compliance.

Knowledge, Skills, and Abilities

  • Superior academic record.

  • Strong research and analytical skills.

  • Strong negotiation, human relations, oral and written communications skills.

  • Ability to understand and resolve complex legal issues and respond quickly to clients and third parties.

  • Excellent organizational and time management skills; strong initiative; ability to prioritize multiple assignments and meet deadlines.


Preferred Qualifications:

Pay Transparency: This compensation range is provided as a reasonable estimate of the current starting salary range for this role across all potential locations. If this opportunity includes multiple job levels, the range is a reasonable estimate of the current starting salary for the lowest level to the current starting salary of the highest level. Actual starting pay would be determined by experience relative to the job, market level, pay at the location for this job and other job-related factors permitted by law. An employee may be eligible for additional pay, premiums, or bonus potential. The Company offers eligible employees health, vision and dental insurance, retirement, and tuition reimbursement.

Pay: US Pay Range: $12,123.87/mo - $20,912.98/mo.

Additional Details: This position is eligible for telecommuting and may be located anywhere within the United States excluding AK, HI and U.S. territories.
