About the Role
Riskified is hiring a Corporate & Securities Counsel to join our team of 6 attorneys. Reporting to the Director, Legal, you will be a key member of the corporate legal function-owning critical work streams across SEC reporting, corporate governance, and regulatory compliance. This is an exciting opportunity to join a successful public tech company and serve as a trusted advisor to senior leadership as they navigate complex strategic decisions.
As an Israeli-founded company dual-listed on the NYSE, Riskified's legal needs are genuinely global and multi-faceted-you will work across U.S. securities law, Israeli Companies Law, and international entity management. There is meaningful opportunity to expand into commercial contracts, privacy, and other substantive areas depending on your skills and interests.
We're looking for a highly motivated attorney who wants to make a significant impact, works well independently, and thrives in a fast-moving, cross-functional environment.
What You'll Be Doing
  • A key member of Riskified's corporate legal function.
  • Work closely as part of a cross-functional team on Exchange Act filings and other public disclosure documents, including preparation of earnings releases, 10-Ks / 20-Fs, 10-Qs, 8-Ks / 6-Ks, Proxy Statements, Section 16 Filings and other SEC-related documents.
  • Assist with planning and preparation for board and committee meetings, and annual shareholder meetings.
  • Serve as a trusted business advisor to the General Counsel, CEO, CFO and other key individuals in the company on corporate, regulatory, strategy, international and employee equity matters.
  • Maintain corporate compliance programs throughout the company, as well as developing educational materials for employees and executives on securities law, insider trading, and related topics
  • Provide legal support on compliance with applicable laws and on establishing and maintaining foreign entities.
  • Proactively anticipate legal issues that could impact the company and bring practical, risk-based recommendations to leadership.
  • Provide counsel on corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and other strategic initiatives.
  • Opportunities to expand into other legal substantive areas depending on skills and interests, including commercial contracts, bankruptcy, insurance, real estate and privacy.
Qualifications
  • JD Required. Member of the New York or other U.S. state Bar
  • 2 to 3+ years of relevant experience at a top-tier law firm, ideally with a background in securities laws, public company disclosure, corporate governance and / or M&A.
  • Prior experience drafting and reviewing Exchange Act filings (10-Q, 10-K, 8-K, 20-F, 6-K etc.) and advising on executive compensation and benefits.
  • Experience working with the Israel Companies Law is helpful but not required.
  • Strong technical drafting skills and attention to detail.
  • Strong interpersonal skills, flexibility and responsiveness.
  • Collaborative and can communicate clearly with both legal and non-legal stakeholders.
  • Practical mindset towards protecting the company from risks while enabling fast paced growth and innovation.
  • Ability to prioritize tasks and manage time effectively.
  • Ability to work independently while having good judgment to escalate significant matters.
  • Fintech and/or SaaS experience is helpful but not required.

The base salary range for this position is $175,000-$190,000. This range is applicable to candidates who will perform the job either wholly, or in part, within New York City.
