Senior Counsel will work, independently and collaboratively, on legal issues affecting FUJIFILM Holdings America Corporation and its Life Science/Pharma companies to minimize risks of legal liability and ensure maximum legal rights of the company.

Job Description

Responsibilities

  • Operating as a business partner, manage the day-to-day legal affairs of certain Fujifilm Life Sciences/Pharma companies under general supervision of Division General Counsel, Life Sciences and in coordination with other Fujifilm legal teams located within and outside the U.S.
  • Advise, counsel and report to management on legal and regulatory risks, including with respect to FDA regulations and other frameworks specific to Life Science/Pharma companies.
  • Directly draft, review and negotiate a variety of commercial contracts, including customer, distributor and vendor agreements, non-disclosure agreements, development, manufacturing and service agreements, and quality agreements, among others.
  • Work with outside counsel on a regular basis to review and handle large volume of contracts, to ensure agreements meet management/corporate objectives.
  • Champion and execute contracting and legal support process improvements, such as templates, contract management systems and other initiatives, to increase efficiency and improve service level.
  • Provide subject matter expertise and support for corporate and pre-litigation/litigation work to minimize risks and maximize legal rights.
  • Participate in the development and structuring of new business ventures and corporate transactions.
  • Keep abreast of legislative and regulatory changes that may affect HLUS and its subsidiary companies.
  • Provide training to HLUS and its subsidiary companies on substantive legal topics, including regulations specific to CDMO, Life Science/Pharma and Medical Device companies.

Required Skills/Education

  • College degree and juris doctorate from accredited law school. Academic honors preferred.
  • Admitted to at least one state bar in good standing.
  • 6-8 years of relevant experience in a corporate law firm and/or in-house legal department, preferably in the Life Science/Pharma, Medical Device or health care field.
  • Solid commercial contract background with extensive drafting experience.
  • Experience managing outside counsel and/or legal staff.
  • In-depth knowledge of FDA and related regulations, including requirements specifically applicable to the CDMO, Life Science/Pharma and Medical Device industries.
  • Strong contract drafting and negotiation skills.
  • Computer skills and appropriate applications.
