Real Estate Attorney (M&A Due Diligence Focus)

Location: Pittsburgh, PA

Direct Counsel is seeking a Real Estate Attorney to join a prestigious global law firm's Real Estate practice in Pittsburgh. This role is ideal for an experienced transactional real estate attorney with 5+ years of experience who enjoys managing complex due diligence efforts while supporting sophisticated mergers and acquisitions and commercial real estate transactions.

The successful candidate will work closely with multidisciplinary deal teams, advising clients on real estate risks, transaction strategy, and the successful execution of high-value acquisitions, dispositions, leasing, and financing matters.

ResponsibilitiesReal Estate Due Diligence
  • Lead and manage all aspects of real estate due diligence for mergers and acquisitions.
  • Review and analyze leases, title commitments, surveys, zoning reports, easements, and other property-related documents.
  • Identify legal, financial, and operational risks associated with commercial real estate assets.
  • Prepare comprehensive due diligence reports, executive summaries, and risk assessments.
  • Coordinate diligence workflows, transaction timelines, and closing deliverables.
Commercial Real Estate Transactions
  • Support acquisitions, dispositions, leasing, financing, and development transactions.
  • Draft, review, and negotiate purchase agreements, leases, and other real estate transaction documents.
  • Assist with transaction closings and post-closing matters.
  • Advise on real estate issues arising within larger corporate and M&A transactions.
Transaction Strategy & Client Advisory
  • Partner with corporate deal teams to integrate real estate diligence into overall transaction strategy.
  • Assist in negotiating purchase agreements by identifying and resolving real estate-related issues.
  • Support satisfaction of real estate closing conditions.
  • Develop practical risk mitigation strategies for clients.
  • Draft and negotiate real estate provisions in equity and asset purchase agreements, including representations and warranties, disclosure schedules, indemnification provisions, and closing documentation.
Qualifications
  • J.D. from an accredited law school.
  • Active Pennsylvania bar admission and good standing.
  • Minimum 5 years of transactional commercial real estate experience.
  • Significant experience drafting and negotiating commercial real estate agreements.
  • Strong knowledge of leases, title, zoning, easements, surveys, and property rights.
  • Experience reviewing and analyzing complex lease agreements and commercial contracts.
  • Familiarity with mergers and acquisitions processes is preferred.
  • Excellent analytical, drafting, negotiation, and organizational skills.
  • Strong written and verbal communication skills.
  • Ability to manage multiple transactions simultaneously while working independently and collaboratively.
  • Proficiency with Microsoft Office and legal document management systems.
