Real Estate Attorney | Partner or Sr Assoc | Up to $350k Base

Position Overview

Premier firm is seeking a Real Estate & Finance Partner to join its Philadelphia office. This attorney will bring substantial experience representing developers, investors, landlords, tenants, buyers, sellers, and borrowers in sophisticated commercial real estate transactions, including acquisitions and dispositions, leasing, development, construction financing, and permanent financing matters. The ideal candidate will have a demonstrated track record of leading complex transactions, managing key client relationships, and contributing to business development initiatives. This role offers the opportunity to join a highly active and respected real estate practice, collaborate with a talented team of attorneys, and play a meaningful role in the continued growth of the platform.

Qualifications

  • Active Admission to the PA Bar (NJ is a PLUS)
  • Successful history of practicing commercial real estate law, with demonstrated experience in leasing, acquisitions and financing.
  • Proven experience representing landlords and advising on commercial leasing strategy and negotiations.
  • Experience with construction contracts and construction-related legal issues, including lien law and contractor agreements.
  • Familiarity with permanent finance, mortgage documents and lender negotiations.
  • Strong drafting and negotiating skills, attention to detail, and the ability to translate legal risk into practical business advice.
  • Demonstrated ability to manage multiple transactions and deadlines in a fast-paced environment; strong project management skills.
  • Preferred: experience with title work, land use/zoning, environmental due diligence, and prior experience in a law firm and/or in-house real estate legal department.

Key Responsibilities

  • Draft, review and negotiate commercial leases (office, retail, industrial) on behalf of landlords and tenants; manage lease amendments and renewals.
  • Prepare, review and negotiate purchase and sale agreements, letters of intent, and acquisition-related documents; lead acquisition and disposition transactions from negotiation through closing.
  • Draft and negotiate loan documents, intercreditor agreements, and related permanent finance documents; coordinate with lenders, borrowers, and counsel to facilitate closings.
  • Advise on construction contracts, design and construction risk allocation, mechanics liens, change orders, and construction dispute prevention and resolution.
  • Conduct and oversee legal due diligence, title review, survey matters, environmental assessments and risk analysis; coordinate with title companies and third-party vendors.
  • Work closely with brokers, property managers, development teams and internal stakeholders to align legal strategy with business objectives.
  • Manage and supervise outside counsel for litigation, zoning, land use, and complex transactional matters as needed.
  • Ensure compliance with applicable federal, state and local regulations affecting real estate transactions, leasing and property operations.
  • Prepare and present legal summaries, risk assessments and recommendations to senior management and clients; support negotiation strategies and deal structuring.
