The purpose of an NDA is to protect sensitive information from being shared with unauthorized individuals or entities. NDAs are commonly used in business settings when proprietary information, trade secrets, or other confidential data is exchanged. By signing an NDA, all parties agree not to disclose or use the protected information for purposes other than those outlined in the agreement.

Legal professionals working with NDAs often encounter challenges such as ensuring the language is clear and enforceable, tailoring terms to fit specific business needs, and keeping up with changing regulations. Another frequent challenge is balancing the interests of all parties while protecting sensitive information without being overly restrictive.
