Mergers & Acquisitions Resource Attorney

Locations: New York, Palo Alto, San Francisco
Practice Area: Mergers & Acquisitions

Direct Counsel is seeking a Mergers & Acquisitions Resource Attorney for a top-ranked law firm with multiple office locations. This is a non-client-facing role designed to support the M&A group through legal research, precedent development, and knowledge management.

Key Responsibilities:
  • Transaction Database Management – Input and maintain deal terms from signed transactions.
  • Form & Precedent Drafting – Develop and organize templates and legal resources for the M&A team.
  • Legal Updates – Track and summarize regulatory developments impacting M&A transactions.
  • Legal Education – Collaborate on training materials and firmwide legal education initiatives.
  • Marketing & Business Development – Assist in content creation for marketing, pitches, and industry outreach.
  • Attorney Support – Provide legal resources, templates, and precedent documents to attorneys.
  • Knowledge Management & Innovation – Support practice innovation projects and process improvements.
Qualifications:
  • 7+ years of M&A experience in a US corporate/transactional practice.
  • Strong knowledge of public and private M&A, corporate governance, and market trends.
  • Exceptional drafting, research, and organizational skills.
  • Ability to manage multiple projects simultaneously with attention to detail.

Compensation & Benefits:
