Job description

We are looking for a Senior Counsel-M&A to join our Legal team. Reporting to the Deputy General Counsel, Strategic Transactions & Technology, the Senior Counsel - M&A will be based in any North American city with a Clarivate office and will form part of a highly respected global legal team. This role will be a legal business partner supporting Clarivate's corporate transactions, including mergers, acquisitions, divestitures, financing, complex commercial agreements, and more.

About You - experience, education, skills, and accomplishments

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law and in good standing with the applicable bar association.
  • 5+ years' experience as an attorney working primarily on complex, multinational mergers and acquisitions, including at least 3 years at a large North American law firm as a corporate/M&A associate.

It Would Be Great If You Also Have...

  • Prior in-house experience preferred.
  • Excellent negotiation, organizational and deal management skills.
  • Enthusiasm for process improvement and client satisfaction.
  • Highly proficient in spoken and written English. Other language skills a plus.
  • Demonstrated ability to interact with and influence senior executive leaders.
  • Admitted in good standing to the bar of working location.

What Will You Be Doing in This Role?

  • Lead legal support for Clarivate's corporate transactions, including the review and negotiation of deal documents, assistance in structuring deals, and coordination of due diligence.
  • Lead a variety of general corporate projects.
  • Review and negotiate complex commercial agreements, as time permits.
  • Identify ongoing personal training and developmental needs as part of continuous career and professional development.
  • Some travel on an as needed basis.

Hours of Work

This is a full-time, permanent position working primarily during core business hours. Flexibility will be required to support colleagues and stakeholders across multiple global time zones.

This is a hybrid role with an expectation of working in the office up to three days per week.

Compensation

The expected base salary for this position is $192,000-$240,000 CAD per year/$165,000-$205,000 USD per year. This role is eligible for a 15% Annual Incentive Plan (AIP). Individual pay is based upon experience, education, skills, expertise, and other relevant factors.
