Job description


The Litigation & Corporate Affairs Specialist oversees the legal aspects of lawsuits managing litigation processes, developing strategies, and coordinating with legal teams, Risk Managers and outside counsel as well as responsible for providing legal support to the lawyers of the Legal Services Department. This position must demonstrate high levels of organization and prioritization, attention to detail, and a strong focus on quality of work.
Responsibilities
1. Litigation/Risk Management:
  • Collaborates on the development of litigation strategies and argumentation in partnership with FMOLHS Risk and Legal Services Departments.
  • Provides direction to outside counsel ensuring effective communication and strategy execution in partnership with FMOLHS Risk and Legal Services Departments.
  • Monitors case budgets, expenses, and timelines while identifying and mitigating legal risks for the organization.
  • Provides regular updates to management, clients, and stakeholders on case status, risks, and strategic opportunities.

2. Corporate Affairs:
  • Responsible for all corporate filings including articles of incorporation and annual reports in Louisiana and Mississippi.
  • Partners with FMOLHS Finance and Risk Departments regarding ownership aspects of joint ventures and structure of wholly owned subsidiaries including obtaining and maintaining all documentation required for FMOLHS insurance renewals
  • Supports lawyers in mergers, acquisitions, and other corporate transactions by assisting with due diligence, closing documents, and coordinating with various parties.
  • Partners with FMOLHS Real Estate Department as well as outside property management to accurately account for all property owned, purchased and sold by FMOLHS and its wholly owned subsidiaries

4. Legal Support:
  • Drafts legal documents with attorney oversight.
  • Understands statutory, regulatory and case law on a range of issues including, but not limited to, contractual agreements, employment issues, regulatory issues, corporate matters, medical staff issues, policies and procedures, reimbursement issues and other issues as needed.
  • Reviews and drafts contracts include, but are not limited to, physician contracts. contracts for sale and lease of property, consultant contracts. Service contracts, confidentiality agreements, severance agreements and other contracts as needed.

5. Other Duties as assigned.
Qualifications
Experience: 10 years experience in litigation including 3 years' experience with Medical Malpractice litigations.
Education: Bachelor's Degree in Paralegal Studies, Legal Studies, Business Administration, Healthcare Administration, Public Administration or related field.
Certification/Licensure: Paralegal Certification
Skills & Abilities:
• Strong communication, organization and computer skills as well as the ability and initiative to perform duties with consistently high levels of competency, accuracy and sound judgment.
• Ability to work independently without immediate supervision and deal tactfully with external and internal customers and all System personnel.
• Strong analytical skills, including (but not limited to):
o Ability to synthesize and evaluate data.
o Reviewing and summarizing legal documents,
o Identifying risks and escalating issues appropriately.
o Conducting legal or regulatory research.
