Summary
The Senior Corporate Attorney will serve as the company's primary in-house legal resource for commercial contracting, NDA management, legal entity governance, and legal operations hygiene. This role is hands-on and execution-oriented, with heavy contract review volume and close partnership with Finance, Sales, HR, Security, and Executive Leadership.
This position is not expected to lead litigation or function as a General Counsel, but rather to provide day-to-day legal advisory, ensure scalable legal processes, and support M&A and compliance activities as the business continues to grow.
Primary Responsibilities
  • Draft, review, negotiate, and manage a high volume of agreements, including:

  • Master Service Agreements (MSAs)

  • Statements of Work (SOWs)

  • Vendor and supplier agreements

  • SaaS, licensing, and technology contracts

  • Customer-facing MSP agreements

  • Own and streamline NDA management (customer, vendor, acquisition-related)

  • Provide practical risk assessments and redlines aligned with business objectives

  • Legal entity & corporate governancefor 30+ subsidiary brands, including:

  • Entity maintenance and compliance

  • Corporate records, resolutions, and filings

  • Coordination with outside counsel as needed

  • Support integration and ongoing governance of newly acquired entities

  • Own and maintain New Charter Technologies legal data rooms, including corporate document and contract repositories, along with acquisition and diligence materials

  • Improve legal processes, templates, and playbooks to scale efficiently

  • Serve as the internal point of contact for audits, due diligence, and information requests

  • Support M&A transactions from a process and diligence perspective, including:

  • Reviewing and organizing diligence materials

  • Supporting contract reviews and assignment/consent analysis

  • Coordinating with external counsel and internal stakeholders

  • Provide legal guidance on routine legal matters across the organization

  • Serve as a trusted advisor to leadership on contract, governance, and compliance questions

  • Route and triage HR-related disputes in partnership with HR and external counsel

  • Support incident response efforts related to cybersecurity breaches, including coordination with Security, Insurance, and outside counsel

  • Assist with regulatory and compliance issues relevant to MSPs (data protection, privacy, customer obligations)

  • Partner closely with Sales, Finance, and Operations to enable revenue while managing risk

Preferred Skills & Experience
  • Juris Doctor (JD) from an accredited law school

  • Active license to practice law in at least one U.S. jurisdiction

  • 4-9+ years of relevant legal experience

  • In-house experience at a technology, MSP, SaaS, or services-based company, highly desired

  • Experience in PE-backed or multi-entity acquisition environments, strongly preferred

  • Exposure to M&A diligence and post-acquisition integration

  • Experience supporting cybersecurity or data privacy matters

  • Practical, business-oriented legal judgment

  • Ability to manage high contract volume in a fast-paced environment

  • Comfortable working cross-functionally with Finance, Sales, HR, IT, and Security

  • Familiarity with legal entity management and corporate governance

  • Experience reporting into Finance or working closely with CFO organizations
  • Expected Compensation: $170,000 to $190,000 Dependent on Experience
