Senior Specialist Legal Editor, Corp & M&A (Private Equity)

Role Summary:
We are seeking an experienced Private Equity lawyer to join the Practical Law Corporate and M&A team in the United States.

Practical Law editors are experienced legal professionals who sit at the intersection of law, technology and the development of AI-driven legal solutions, such as CoCounsel.

About the Role:
As a Senior Specialist Legal Editor in Practical Law, you will use your specialist legal knowledge of, and experience in Private Equity law and practice to create and maintain a wide range of content and to support the development of Thomson Reuters AI-powered legal solutions. Working in a supportive team of highly experienced colleagues, you will deal with a breadth of interesting work.

Major responsibilities/accountabilities

  • Research, write and maintain clear, current, and practical legal content aligned with market practice and customer needs, and business objectives.
  • Review and edit content written by others, whether by colleagues or external expert contributors.
  • Keep up to date with legal, practice and market developments to ensure content remains accurate, relevant and aligned with business objectives.
  • Use your legal expertise to support the development of customer-focused Thomson Reuters' AI-powered legal solutions.
  • Use your legal expertise and editorial skills to support the development and application of internal AI editorial tools.
  • Develop and maintain relationships with lawyers and industry groups to ensure content reflects current market practice.
  • Use your specialist legal knowledge to assist the wider Thomson Reuters team, working with product management, sales, marketing, and technology functions where necessary.

About You:

You're a fit for the role if you are a Juris Doctor with a current license to practice law in at least one US jurisdiction and have:

  • At least 8 years' experience of working as a sponsor-side Private Equity lawyer in a law firm or in-house with a track record of leading complex M&A deals.
  • Extensive experience advising private equity sponsors, portfolio companies, co-investors, and lenders on acquisitions/dispositions, growth investments, and exits including:
    • Structuring and negotiating LBOs, minority/majority investments, carve outs, take privates, and add-ons.
    • Drafting and editing SPAs, merger agreements, stock/asset purchase agreements, LLC/LP agreements, financing and ancillary documents.
    • Advising and drafting on governance, management rollover, incentive equity, earn outs, and shareholder equity arrangements.
  • Familiarity with LBO structures, fund economics, financing terms, and private fund formation is preferred.
  • Strong writing skills, and a passion for writing about legal practice accurately, concisely and in plain English.
  • A collaborative mindset with the ability to work effectively independently and in teams.
  • Strong technical skills and the ability to effectively utilize various tools, including generative AI technologies, to enhance productivity and accuracy.
  • Adaptability and flexibility to work on diverse projects and tasks within the generative AI space as well as new and emerging technologies.
  • A curious mindset, including about the increasing intersection of AI and legal practice, adaptable and open to change.
  • Experience of using AI tools in legal work.
