We are seeking a brilliant, commercially minded Corporate Transactional Tax & M&A Attorney to join our team as the principal transactional tax voice within the firm. If you love bridging the gap between complex tax regulations and practical, high-value business solutions, you'll fit right in.
About the Role
As our Corporate Tax Attorney, you will be the structural architect for complex business transitions, domestic mergers and acquisitions, and multi-entity organizational designs. You won't just be reviewing code; you will be embedded in deal teams to ensure our clients achieve maximal operational flexibility while aggressively minimizing deal-based tax drag.
What You Will Do (Core Responsibilities)
  • M&A Architecture & Transactional Tax Support: Structure and design domestic M&A, strategic investments, divestitures, and joint ventures. You will draft, review, and negotiate critical tax provisions in SPAs, APAs, and Merger Agreements.
  • Complex Structural Execution: Analyze and execute tax-free reorganizations, Section 338(h)(10) elections, S-corp conversions, and F-reorganizations.
  • Risk Mitigation & Due Diligence: Issue-spot latent deal risks and conduct comprehensive tax due diligence to insulate clients from historical successor liabilities.
  • Entity Structuring & Governance: Advise entrepreneurs and investors on optimal choice-of-entity strategies (C-Corp, S-Corp, LLC, LP) and draft tailored, complex governance frameworks (LLC Operating Agreements, Partnership Agreements, Buy-Sell agreements).
  • Specialized Corporate Setups: Design and build complex, multi-entity corporate structures, including IP holding companies, management services companies, and equipment leasing subsidiaries.
  • Real Estate Capital & Asset Structuring: Advise on complex real estate capital allocations, utilizing 1031 like-kind exchanges and sophisticated developer or inventory land banking structures.
  • Risk Assessment & Legal Documentation: Author formal legal opinions, technical memoranda, and complex corporate resolutions designed to address and mitigate unique federal or state transactional tax risks.
  • Executive Compensation Alignment: Construct tax-efficient executive compensation packages, including profits interests, phantom stock arrangements, and equity incentive plans.
  • Practice Management & Collaboration: Act as the primary transactional liaison working alongside our Advanced Tax Strategies and Trusts & Estates practice groups.

  • Experience: 7+ years of dedicated corporate tax and transactional experience.
  • Technical Mastery: Translate Subchapters C and K into clear, actionable advice for C-suite executives, corporate boards, and external CPAs.
  • Collaboration: Assertively lead strategy roundtables and negotiate with opposing counsel.
  • Strategic Mindset: Flawlessly protect client interests under tight transaction timelines.
  • Leadership: Supervise legal support, mentor and elevate junior corporate talent helping to build our internal talent pipeline.
  • Portable Book: A portable book of business is highly valued and preferred, though not strictly required.

What We Offer
  • Total Compensation (Base salary, plus potential incentive compensation): $151,000 - $267,000.
  • Compensation: Highly competitive, tiered salary framework starting at $151,000+ for attorneys meeting the 7-year threshold, scaling dynamically based on experience, production, and unique expertise.
  • Incentive Compensation: For highly motivated professionals driven by performance, this position offers an annual bonus structured on a graduated scale from 3% up to 16% of your realized revenue. This model gives high achievers the potential to significantly maximize their total compensation, which is capped at a rewarding 42.5% of annual realization. Stay on track with your production plan for the opportunity to receive quarterly payouts.
  • Health & Wellness: Comprehensive medical plan (75% employer-paid for employee), dental and vision plans (50% employer-paid), plus 100% employer-paid life, short-term, and long-term disability insurance.
