As a Technology in Deals Senior Associate, you will be a key member of engagement teams helping clients assess and address technology considerations across the deal lifecycle. You will take ownership of defined workstreams and deliverables, perform structured quantitative and qualitative analysis, contribute insights and recommendations, and work directly with client and PwC stakeholders. We focus on all technology-related aspects of a transaction - pre- and post-close - including Technology Due Diligence (Product Technology, IT & Cyber), IT Integrations, IT Carve-outs/Separations, and Technology/Digital Value Creation. Our work spans a wide range of industries and deal types, serving Corporate, Private Equity and Pension Fund clients alike.
Our team assists Corporate, Private Equity and Pension Fund clients with the technology dimensions of their acquisition, integration, and divestiture activities. This team supports clients in all technology-related aspects of a deal, pre- and post-completion, including:
Technology Due Diligence: Buy- and sell-side assessments of Product Technology, Software, Artificial Intelligence (AI), as well as the supporting IT systems, infrastructure, cybersecurity, and IT operations to inform/advise Private Equity and Corporate clients on technology value drivers and risks in their M&A transactions
IT IntegrationAdvisory: Post-acquisition IT integration analysis, planning and execution, including development of Target IT Operating Models and Architectures, IT Integration strategy, IT Synergies and One-time cost analysis, Day 1 IT readiness, and buy-side IT Transaction Services Agreement (TSA) assessments. This will also include post-deal IT Transition Management Office (IT TMO) set up and running of the IT TMO to manage the IT Integration.
IT Carve-out/SeparationAdvisory: IT separation analysis, planning and execution, including Transitional Service Agreement (TSA) design, standalone IT cost analysis, technology disentanglement, as well as Day 1 IT planning. This may also involve IT Separation Management Office (IT SMO) set up and execution to support the client's post-deal IT carve-out and transition.
Technology/Digital Value Creation: Identification, planning and execution of technology- and digital-enabled value creation opportunities across the portfolio or enterprise. This may involve commercial and technology analysis to support a monetization event (i.e. Software Product Sale / Joint Venture) or executive advice on driving quantifiable value through technology/IT investments, pre- or post-deal.
The Opportunity
Our team assists Corporate, Private Equity and Pension Fund clients with the technology dimensions of their acquisition, integration, and divestiture activities. This team supports clients in all technology-related aspects of a deal, pre- and post-completion, including Technology Due Diligence, IT Integration Advisory, IT Carve-out/Separation Advisory, and Technology/Digital Value Creation.
Your responsibilities as a Senior Associate will Include, but are not limited to the below areas:
Execute defined workstreams on technology due diligence, IT integration, IT carve-out/separation, and technology/digital value creation engagements under the direction of engagement leaders.
Gather, organize and analyze client information relating to product technology, enterprise applications, infrastructure, cybersecurity, IT operations, organization, costs and contracts, using PwC's AI tools to accelerate and enhance your insights
Participate in management interviews, workshops and client meetings; prepare discussion guides, capture key findings and follow up on data requests and open items.
Develop clear quantitative and qualitative analyses, including IT cost baselines, one-time cost estimates, synergy opportunities, TSA considerations, risk assessments and implementation roadmaps.
Draft high-quality client deliverables that synthesize findings, identify transaction impacts, and support practical recommendations and decision-making.
Manage assigned activities against project plans, timelines and quality standards; proactively raise risks, dependencies, information gaps and emerging issues.
Coordinate effectively with PwC specialists and cross-functional Deals teams to integrate technology findings into broader transaction advice.
Build productive relationships with client team members and contribute confidently in interactions with technology and functional stakeholders.
Review and guide the work of Associates, provide timely coaching and feedback, and contribute to an inclusive and collaborative team environment.
Support proposal development, market research, practice-building initiatives, methodology enhancement and the development of technology-enabled tools and insights.
As part of the transaction process, you will rapidly develop an understanding of a target's or client's technology landscape and help assess the technology risks, cost structures, cyber considerations, integration or separation complexities, and technology-enabled value creation opportunities surrounding each transaction.
What You'll Bring
We are looking for a candidate who bring following experience and capabilities:
A university degree in Technology, Engineering, or a related field is preferred, along with excellent English communication and report-writing skills; business fluency in French is an asset
Relevant experience in management consulting, transaction advisory, corporate M&A, technology strategy, IT transformation, product technology, cybersecurity or a related professional-services environment.
Exposure to one or more areas of technology due diligence, IT integration, IT separation/carve-out, technology operating model design, IT cost analysis or technology-enabled value creation is preferred.
Working knowledge of one or more technology domains, such as product and software engineering, enterprise applications, infrastructure and cloud, cybersecurity, data and analytics, IT operations or vendor management.
Strong analytical and critical-thinking skills, with the ability to break down complex problems, interpret financial and operational data, identify patterns and translate findings into clear insights.
Strong written and verbal communication skills, including the ability to develop concise presentations and reports and contribute effectively in client discussions.
Demonstrated ability to take ownership of deliverables, manage multiple priorities, work within accelerated transaction timelines and maintain a high level of quality and attention to detail.
Ability to build collaborative relationships, anticipate team and client needs, operate effectively when the path forward is not fully defined, and escalate issues appropriately.
Experience guiding junior team members, reviewing work and providing constructive feedback is an asset.
A drive to embrace AI and other digital tools to improve analysis, efficiency and client value, together with a commitment to continuous learning.
A commitment to integrity, inclusive teamwork, professional standards and the delivery of high-quality client outcomes.
The ability and willingness to travel within Canada and internationally, as required.
A bachelor's degree in business, engineering, computer science, information systems or a related field is an asset.
Current or prior experience in these areas within a Corporate M&A function, or a Big 4 or strategy M&A practice, is significantly preferred.

The salary range for this position is $77,500 - $127,500. The posted salary range represents the expected hiring range for PwC locations in major city centres. Given our national recruiting approach, ranges may vary for positions in other locations. At PwC Canada, base salary is determined by your skills, experience, qualifications and work location. In addition to base salary, eligible employees may have opportunities to participate in variable incentive pay programs which are designed to reward individual and firm-wide achievements.
