Job description

Direct Counsel is seeking a Corporate Associate to join a premier Capital Markets practice in Houston. This is an excellent opportunity for a junior attorney looking to build a sophisticated securities and public company practice while working closely with issuers, underwriters, and public company clients.

The ideal candidate will have experience with securities offerings and public company reporting obligations, along with a strong interest in capital markets and corporate advisory work.

Responsibilities
  • Represent issuers and underwriters in public and private securities offerings
  • Advise public companies on:
    • SEC reporting obligations
    • Securities law compliance
    • Corporate governance matters
    • Public company disclosure requirements
  • Assist with equity and debt capital markets transactions
  • Draft and review registration statements, offering documents, and SEC filings
  • Conduct legal research and provide strategic advice on securities law matters
  • Collaborate with attorneys across corporate, finance, and capital markets practices
  • Support transaction execution from inception through closing
  • Work directly with clients on ongoing corporate and compliance matters
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2023–2024
  • Experience representing issuers and/or underwriters in securities offerings
  • Experience advising clients on SEC reporting and compliance matters
