IP & Technology Transactions Associate Attorney (Mid-Level)

Location: Palo Alto, CA

A leading global law firm is seeking a Mid-Level Associate Attorney with approximately 4โ€“6 years of experience to join its IP & Technology Transactions practice in Palo Alto.

This role offers the opportunity to work within a highly collaborative, cross-office transactional IP group advising on complex technology-driven deals, with a strong emphasis on M&A-related IP and commercial transactions.

Position Overview

The IP & Technology Transactions group advises clients on the structuring, negotiation, and execution of intellectual property and technology agreements in connection with major corporate transactions and standalone strategic deals. The practice frequently intersects with M&A and other corporate transactions and requires close coordination across offices and practice groups.

Attorneys in this group work on sophisticated matters involving technology development, licensing, commercialization, and IP integration in corporate deals.

Responsibilities
  • Draft and negotiate intellectual property and technology transaction agreements
  • Support IP aspects of mergers, acquisitions, and other corporate transactions
  • Advise on licensing, collaboration, and strategic alliance arrangements
  • Structure and document technology development and commercialization deals
  • Assist with IP due diligence and integration in M&A transactions
  • Work collaboratively across offices and practice groups on complex matters
  • Conduct legal research and support transaction execution
  • Manage deal components with increasing responsibility and autonomy
Qualifications
  • 4โ€“6 years of experience in IP and technology transactions at a law firm
  • Strong experience with M&A-related IP and technology matters preferred
  • Experience working in cross-disciplinary, cross-office teams
  • Strong drafting, negotiation, and analytical skills
  • Excellent academic credentials and prior large law firm experience preferred
  • Active member of the California Bar preferred
Compensation

The expected base salary range for this position is $310,000 โ€“ $390,000 annually, with eligibility for a discretionary year-end bonus. Compensation will be determined based on experience, skills, and other job-related factors consistent with applicable law.
