What You'll Do
The New York office of Kirkland & Ellis LLP is seeking an Investment Funds Paralegal to support multiple partners and attorneys within the Investment Funds practice. In this role, you'll play a critical part in fund formation and investment management transactions, providing both legal and administrative support while helping keep sophisticated matters moving efficiently from start to finish.
โ€ข Transaction Support: Assist with pre-closing, closing, and post-closing activities for investment fund transactions, ensuring accuracy and timeliness throughout the process.
โ€ข Investor Subscription Management: Prepare, review, track, and maintain investor subscription materials, including subscription booklets, indexes, and related documentation.
โ€ข Regulatory Filings: Prepare and file regulatory documents, including Form ID and Form D filings with the U.S. Securities and Exchange Commission (SEC), and obtain Electronic Data Gathering, Analysis, and Retrieval (EDGAR) codes.
โ€ข Document Preparation & Filing: Prepare and coordinate the filing of formation, tax, and securities documents, as well as closing notices and side letter compendia.
โ€ข Data & Reporting: Create and maintain Excel spreadsheets and reports tracking investor subscriptions, deadlines, and transaction-related data.
โ€ข Calendar & Deadline Management: Maintain and update calendars to track key deadlines across multiple matters.
โ€ข Attorney Support: Provide day-to-day legal and administrative support to attorneys in the Investment Funds practice, including proofreading, scanning, duplicating, and saving documents to the Document Management System (DMS).
โ€ข Administrative Coordination: Handle signature page distribution, maintain hard and electronic files, and assist with clerical tasks as needed to support the broader practice.
What You'll Bring
โ€ข Education: Bachelor's degree or equivalent experience.
โ€ข Experience: At least 3 years of paralegal experience, preferably in a law firm handling complex transactional matters for large corporate clients, with exposure to fund formation or investment management.
โ€ข Technical Proficiency: Strong skills in Microsoft Word, Excel, and Outlook, with experience using a Document Management System; familiarity with Microsoft Access is a plus.
โ€ข Attention to Detail & Organization: Exceptional analytical, organizational, and multitasking abilities, with a keen eye for accuracy in a deadline-driven environment.
โ€ข Communication & Collaboration: Clear, professional communication skills and the ability to work effectively both independently and as part of a team.
โ€ข Flexibility & Commitment: Willingness to work overtime and travel as needed to support transaction demands.
