Job description

Gunster seeks a full-time Corporate Paralegal in its West Palm Beach office. Key responsibilities include the formation, foreign qualification, conversion, merger, maintenance, and dissolution of business entities; drafting governance and tax documents (IRS Forms SS-4, 8832, and 2553); preparing and filing fictitious business name registrations; preparing and filing business tax registrations with the Florida Department of Revenue; preparing, filing, and maintaining municipal and county Business Tax Receipts; preparing responses to audit letter requests; drafting authorizing resolutions, partnership actions, and officer's/manager's certificates; researching state corporate statutes and securities laws; obtaining SEC EDGAR filer codes; drafting and filing SEC Form D and state blue sky notices; filing SEC Section 16 reports; and performing due diligence activities, including ordering and reviewing lien and litigation searches.


Candidates must have at least five years of relevant law firm experience. Florida Registered Paralegal certification is preferred. Experience with international business entity formation and maintenance, as well as Spanish-to-English translation skills, is preferred.
