Reports to: Head of Legal & Compliance  

Business Area: Technology Distribution (U.S. Subsidiaries) 

Experience Level: 4 to 7 years of post qualification experience (PQE) 

Qualification: Must be a U.S. qualified attorney (bar admission in at least one U.S. state; Pennsylvania preferred)

We combine deep market expertise with strong vendor and customer relationships to deliver value added distribution and market enablement across a range of technology segments.

We are seeking a commercially focused and proactive Legal Counsel to join our North American Legal & Compliance function, supporting our businesses across the United States and Canada. This role provides hands on exposure to commercial contracting, operational legal support, compliance frameworks, and regulatory obligations.

The position is suited to a lawyer who is comfortable working with a degree of autonomy, partnering with business stakeholders, and taking ownership of legal matters within a fast moving, growth focused environment. In addition to core legal work, the role will also support management of external counsel and U.S. style corporate governance and entity management activities.

Key Responsibilities

  • Draft, review, and negotiate commercial contracts, including supplier, reseller, distribution, and customer agreements. 
  • Take ownership of a broad range of commercial legal matters, providing clear and pragmatic advice to business stakeholders. 
  • Maintain and enhance contract templates, playbooks, and negotiation guidelines for U.S. operations. 
  • Support contracting compliance with relevant U.S. federal, state, and cross border regulatory requirements, including export controls and trade sanctions, product conformity, certifications, and related regulatory standards, competition/antitrust considerations. 
  • Demonstrate a strong understanding of regulatory and compliance risks, including those relating to environmental and sustainability requirements, ESG reporting expectations, supply chain transparency and due diligence obligations. 
  • Support contract lifecycle management, including execution, amendments, renewals, and terminations. 
  • Assist with the instruction and management of external counsel, including coordinating advice across multiple jurisdictions and monitoring efficiency and cost effectiveness. 
  • Support corporate governance and entity management activities for U.S. subsidiaries, including maintaining corporate records, assisting with filings, and supporting board and shareholder documentation (e.g. resolutions and approvals). 
  • Work collaboratively with internal stakeholders (including finance, tax, and compliance) and external advisors on governance and entity related matters. 
  • Support wider Legal & Compliance team with special projects.
  • Juris Doctor (JD) from an accredited U.S. law school.
  • Admission to a U.S. state bar (Pennsylvania preferred)
  • 4 to 7 years of relevant experience in commercial, contract or corporate work (in house orlaw firm).
  • Experience with or interest in:
  • Commercial contract drafting and negotiation
  • Cross functional business support
  • Regulatory compliance affecting product distribution
  • Managing or coordinating external legal counsel
  • Corporate governance and/or entity management
  • Sustainability related legal and compliance frameworks
  • Strong written and verbal communication skills; ability to translate legal conceptsinto clear guidance.
  • Highly organised, with the ability to manage several matters simultaneously in afast moving environment.
  • Collaborative and proactive, with the confidence to take ownership of matters andsupport business decision making.
  • Familiarity with the technology or distribution sector is an asset but not required.
