Inviting applications to join the Genpact Legal Department in the role of Global Equity Plan Administrator.
In this role, you will serve as the functional lead for all equity plan administration at Genpact, a publicly traded company listed on the NYSE. You will have primary responsibility for the end-to-end administration of our global equity and ESPP plans, SEC insider transaction reporting, and regulatory compliance — working closely with HR, Finance, Legal, Payroll, and external service providers. You will also manage and mentor a direct report. We are looking for a highly experienced, detail-oriented, and independent professional with deep subject matter expertise in US public company equity administration.
This role reports to the SVP, Corporate, M&A and Securities in the Legal Department and may be performed remotely.
Responsibilities
- Serve as the primary subject matter expert and functional lead for all equity plan administration matters across Genpact globally.
- Manage and mentor the Senior Manager, Equity Compensation.
- Oversee day-to-day administration of Genpact’s global equity plans, including PSUs, RSUs and stock options.
- Manage Equity Edge Online (E*TRADE) to ensure all equity plan transactions (grants, exercises, dispositions, transfers, releases, ESPP, etc.) are correctly processed on time while maintaining data integrity.
- Lead all ESPP-related activities, including enrollment administration, purchase period management, purchase and sale execution, and participant communications.
- Partner with Finance and Accounting to support ASC 718 stock-based compensation for quarter-end and year-end reporting.
- Own and maintain SOX controls related to equity administration, ensuring appropriate documentation, testing support and audit readiness.
- Prepare and review SEC Section 16 insider transaction filings (Form 3s and 4s) in compliance with NYSE listing requirements and coordinate the 10b5-1 plan process.
- Manage the trading window and blackout period process in close coordination with Legal.
- Oversee global equity reporting and compliance with US federal and state tax requirements and applicable international regulatory obligations.
- Handle employee equity taxation matters at vesting events, including supplemental withholding and multi-state tax nexus considerations.
- Assist with the preparation and review of equity-related disclosures for the annual Proxy Statement.
- Assist with the coordination and planning of the annual shareholder meeting.
- Manage relationships with external parties, including the equity plan broker and platform provider (E*TRADE / EEO) and transfer agent.
- Manage the process and relationships with local and international payrolls to ensure data accuracy and process compliance; prepare and audit transaction files (PSU and RSU vestings, option exercises, and ESPP transactions) and related intercompany wires.
- Prepare periodic reports on equity plan activity for senior leadership and the Board’s Compensation Committee.
- Reconcile transactions, termination dates, tax withholding and reporting, and related items.
- Maintain the equity plan inbox and respond to participant inquiries in a timely and accurate manner.
- Continuously identify opportunities to improve equity administration processes, systems, and controls.
QUALIFICATIONS
Minimum Qualifications
- Certified Equity Professional (CEP) designation required.
- 8+ years of equity plan administration experience at a US public company.
- Direct, hands-on experience with SEC Section 16 reporting (Form 4 filings) and NYSE listing compliance.
- Hands-on experience with E*TRADE and Equity Edge Online required.
- In-depth knowledge of US federal and state equity taxation, including supplemental withholding and multi-state tax nexus.
- Demonstrated ability to manage the full equity administration function independently, without day-to-day managerial oversight.
- Strong judgment, a high level of professional integrity, and the ability to handle material non-public information (MNPI) and sensitive compensation and employment status information with appropriate discretion and confidentiality.
- Strong equity administration skills, advanced knowledge of Excel, and excellent written and verbal communication skills.
- Global ESPP experience required.
- Experience with IRS Forms 3922 and 6039.
Preferred Qualifications
- 3+ years of leading the equity plan administration function at a US public company.
- Experience managing or mentoring junior equity team members.
- International equity experience required, with depth supporting India and China a plus.
- Good interpersonal skills with an ability to form strong working relationships with the Legal Department and across the broader Genpact organization, including HR, Finance, Payroll, and senior leadership.
- Experience assisting with Proxy Statement equity disclosures and Compensation Committee reporting.
- Experience with state-to-state and international employee mobility is a strong plus.
- Experience with Workday is a strong plus.
- Any experience working with teams to develop APIs is a plus.
