Responsibilities
Octave is seeking a Senior Global Stock Plan Administrator to join our teamAs part of our HR Compensation and Benefits team, this role will oversee the administration and compliance of our global equity programs, supporting executives and employees worldwide. This is a unique opportunity to support a company on a journey to spin-off from a large global organization to a publicly traded software and SaaS company. This role offers the opportunity to shape the global equity program, establish operations, drive innovation, and collaborate with executives and teams worldwide.
Key Responsibilities:
  • Support the design and development of broad-based equity programs.
  • Lead global employee education initiatives to enhance understanding of equity value and plan terms.
  • Design, develop, and launch an ESPP program.
  • Manage global equity programs, including RSUs, PSUs, and ESPPs, ensuring accurate grant tracking, ongoing administration of equity events including RSU releases, PSU attainment and ESPP purchases, along with the related reporting, and compliance.
  • Select and oversee equity management tools. Lead the tool design and setup to maximize employee and executive experience.
  • Own relationships with critical external partners including brokerage service provider, transfer agent, and payroll vendors.
  • Work with outside consultation and finance to ensure equity plan compliance with U.S. and international regulations, including tax withholding, securities laws, and reporting.
  • Lead insider trading compliance and executive equity administration, including monitoring insider lists and blackout periods, coordinating Section 16 officer transactions, and ensuring timely and accurate SEC forms and disclosures in partnership with Finance and Legal.
  • Maintain data integrity in the equity platform and integrated systems
  • Collaborate with Legal and Finance on SEC filings, SOX controls, and audits.
  • Work with Finance and Legal to monitor and manage monthly, quarterly, and annual filings for stock-based compensation.
  • Lead and coordinate pay verses performance reporting in proxy.
  • Establish and report equity plan metrics including burn-rate and dilution.
  • Support leadership in shareholder outreach and working with shareholder advisory firms.
  • Lead global equity operation initiatives to automate and scale data integration, workflows and custom reporting.
  • Identify and implement processes and improvements to upgrade systems and ensure efficiency and data accuracy.
  • Manage public filing requirements to maintain compliance.
  • Stay current on industry trends, regulatory changes, and best practices to drive program enhancements.
  • Support insider management and SEC 16 officer stock management.
  • Additional duties as assigned.

Education / Qualifications
  • 8+ years of experience in equity administration in a public company environment, preferably with a high-technology company
  • Advanced excel capabilities
  • Strong knowledge of global equity plan administration, compliance, and reporting.
  • Proficiency with equity platforms and familiarity with international equity complexities.
  • Exceptional attention to detail, organizational skills, and a continuous improvement mindset.
  • Deep understanding of equity instruments and global compliance requirements.
  • Demonstrated ability to lead through regulatory changes and industry trends.
  • Certified Equity Professional (CEP) - preferred
