Note: this position may be filled as a Counsel or one level higher as a Senior Counsel, dependent upon the experience level of the selected candidate.

This position will be responsible for providing high quality and timely legal support, guidance, and advice on routine and complex matters related to intellectual property, technology procurement and development, commercial contracts and disputes, enterprise transactions, and customer programs and agreements. The position requires independent judgment, the ability to operate with limited supervision and guidance, and frequent contact with clients and others internal and external to Duke Energy Corporation and its affiliates (collectively, the "Company") under the general direction of a Deputy General Counsel.

This position will be based in Charlotte, NC.

Responsibilities

  • Provide legal support for intellectual property matters, including managing trademark and patent portfolios; advising on intellectual property development, deployment and licensing; company policies and procedures; and IP disputes

  • Provide legal support on technology transactions and related agreements, including agreements involving pilot projects, AI tools, software, SaaS, data, cloud platforms, emerging technology, and related services

  • Provide legal support for general commercial matters, including contracts with suppliers, vendors and customers

  • Collaborate with stakeholders including supply chain, privacy, security, AI, IT and cybersecurity to align legal strategy, address key issues, and advise on evolving business needs

  • Negotiate contracts within attorney's area of expertise and assist with developing, maintaining and refining contract templates, clause libraries, playbooks, fallback positions, and related internal processes

  • Manage and resolve routine and non-routine legal matters requiring a broad and thorough understanding of the Company and its business, including various intellectual property, information technology, enterprise services and customer program projects and transactions

  • Clearly and concisely communicate legal advice to Company management

  • Research and draft legal memoranda, policies, corporate governance materials, and other legal documents

  • Consult with Deputy General Counsel on legal issues of significant value, or which may have economic, political or media implications for the Company

  • Work with and manage outside counsel to maximize efficiency

  • Comply with processes to protect the company from unnecessary risks and liabilities, including all reporting requirements

  • Remain current on legal trends, laws and regulations and proactively communicate information to other attorneys in the Legal Department

  • Maintain job-related technical knowledge and skills, and in-depth knowledge of issues relating to the utility industry

    Key skills and experience

    • Experience advising on intellectual property matters, including licensing, registration and development

    • Experience negotiating technology contracts, including for pilot projects, AI tools, software, SaaS, data, cloud platforms, emerging technology, and related services

    • Sound judgment and decision-making

    Basic/Required Qualifications - Counsel

    • Bachelor's Degree

    • Doctor of Jurisprudence degree (JD) from an accredited law school

    • Minimum of two (2) years of experience practicing law

    • Licensed to practice law in the US and eligible for reciprocity

    Basic/Required Qualifications - Senior Counsel

    • Bachelor's Degree

    • Doctor of Jurisprudence degree (JD) from an accredited law school

    • Minimum of three (3)] years of experience practicing law

    • Licensed to practice law in the US and eligible for reciprocity

    Desired Qualifications

    • Experience reviewing, negotiating, and advising on commercial contracts, including related to enterprise and administrative services

    • Experience analyzing complex matters and reducing them to manageable products and communications

    • Experience negotiating IP licenses

    • Knowledge of, or experience with, the patent process and/or trademark registration and maintenance

    • Strong verbal communication skills

    • Ability to take initiative and work independently

    • Ability to manage multiple complex matters simultaneously

    • Ability to work as a part of a team of other lawyers and business stakeholders

    • Experience in energy or related industries

    • Experience managing and resolving disputes

    • Licensed to practice in North Carolina or another state in which the Company operates

    Working Conditions

    Hybrid with three days/week in office
