Job description

Who we seek:

We're looking for a Commercial Counsel to join our tight-knit legal team. Our ideal candidate is someone who has hands-on global enterprise software transaction experience and is able to drive an efficient negotiation process that all sides feel is fair and balanced. Someone with commercial and complex, high-touch tech transaction experience, coming from in-house at a high-tech growth company, or at a law firm, ideally a combination of both.

What you'll do:

  • Draft, negotiate, and advise cross-functional teams on various commercial agreements, including software/ SAAS licenses, NDAs, evaluation agreements, ecosystem partnership agreements, DPAs, and vendor contracts.
  • Provide thoughtful and practical product, business, and legal counseling on various legal risks, business strategies, and other issues related to product features, commercial transactions, and general operations.
  • Manage and resolve complicated issues related to commercial deals, and drive alignment with various cross-functional teams.
  • Be ready to own the entire contracting cycle--from initial draft to execution--and collaborate with business, privacy and product teams to drive contract negotiations to timely and successful completion.
  • Help build, streamline, and operationalize the company's contracting process to help us scale as a Legal team and as a company.
  • Support HR, Marketing, Product Development, and other internal constituencies as needed in contracts, research, deal structuring, and risk counseling.
  • Get tagged in by the GC where needed as a utility player/problem solver.
  • This is an "everyone does everything" team, where we learn from each other.

What you'll bring:

  • 6+ years of experience, transactional expertise, but intellectual curiosity and desire to expand areas of knowledge and participation as the business might require
  • J.D., with strong academic credentials and membership in at least one U.S. state bar.
  • Outstanding written and verbal communication skills, with the ability to advocate for a position while maintaining a collaborative and open-minded approach.
  • Highly organized, reliable, detail-oriented, and diligent.
  • Ability to work on multiple issues simultaneously, to set appropriate priorities with clients, and to deliver results efficiently.
  • Proven ability to provide entrepreneurial, pragmatic, business-oriented advice, with a dedication to superior customer service.
  • Ability to operate autonomously while being a team player who brings a positive attitude to the job.
  • A passion to get deals done with ownership, urgency, and optimism

Bonus Points:

  • Experience in, or good instincts and desire to learn/participate in, other operational areas such as labor/HR, equity management, IP, Board matters, pre-litigation dispute resolution and investigations, policy creation, entity management, 
  • Experience and knowledge of Privacy Laws, AI, and Data Security concepts
  • Foreign language skills (especially Spanish, Portuguese, Arabic, Hebrew, French)
  • Government contracts experience
  • Technical savvy
  • Experience in "zero leverage" sell-side negotiation with large enterprise-class customers

The annual base salary range is $150,000-$185,000. Actual salaries will vary based on a candidate's qualifications, skills, and competencies. Salary is just one component of our Compensation Philosophy. Variable/Bonus Compensation & Equity Incentives align with individual and company performance.
