Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney with 3–6 years of experience to join a leading global law firm and its highly regarded Mergers & Acquisitions practice.

Position Overview

The ideal candidate will have significant experience handling sophisticated M&A transactions for large-scale public and private companies. The attorney will manage key aspects of complex transactions, including due diligence, drafting and negotiating transaction agreements, analyzing legal risks, and advising clients throughout the deal process.

Responsibilities
  • Represent public and private companies in sophisticated mergers and acquisitions transactions.

  • Review financial statements, contracts, and other materials as part of M&A due diligence.

  • Draft and negotiate merger agreements, asset purchase agreements, confidentiality agreements, and other transaction documents.

  • Oversee and coordinate due diligence processes.

  • Research and analyze complex legal issues arising in M&A transactions.

  • Advise clients on legal risks, deal structures, and strategic considerations.

  • Communicate effectively with clients, counterparties, regulators, and other stakeholders.

  • Coordinate with internal and external teams to ensure compliance with applicable laws, regulations, and industry standards.

  • Prepare and review legal opinions, memoranda, presentations, and other transaction-related materials.

  • Manage multiple transactions and competing deadlines while maintaining a high level of accuracy.

  • Utilize AI technologies responsibly and ethically to support legal research, document review, and workflow efficiency.

  • Stay current on market trends and legal developments affecting M&A transactions.

Qualifications
  • 3–6 years of demonstrated M&A experience at a large law firm.

  • Experience representing large-scale public and private companies in sophisticated, high-stakes transactions.

  • J.D. from an accredited law school.

  • Admission to the New York Bar required.

  • Strong knowledge of contract law, securities law, and applicable regulatory frameworks.

  • Proven ability to draft and negotiate complex transaction documents.

  • Excellent analytical, organizational, research, and problem-solving skills.

  • Strong written and verbal communication abilities.

  • Ability to manage multiple transactions, priorities, and deadlines.

  • Proficiency in using AI technologies responsibly and ethically.

  • Strong commitment to professional integrity and client service.

Compensation

The anticipated salary range for this position is $260,000–$390,000 annually, depending on qualifications, experience, and other relevant factors.
