Job Description

We are looking for a bilingual (French/English) Corporate Lawyer with 1-3 years of experience to join our dynamic legal team. This role will require you to manage and oversee a wide variety of legal matters, including contract review, transactional law, real estate, environmental law, as well as employment, compliance, and litigation-related issues. The position reports to the Vice-President Legal Affairs. 

What you're responsible for:

Contract Review and Negotiation:

  • Draft, review, and negotiate a wide range of contracts, including supplier agreements, sales contracts, leases, joint-ventures, and other business-related agreements.
  • Ensure compliance with local, national, and international laws, regulations, and best practice

Transactional Law:

  • Lead and support corporate transactions, including mergers, acquisitions, and divestitures, and real estate transactions.
  • Provide strategic legal advice during corporate restructuring, financing, and business development efforts.

Environmental Law:

  • Advise on environmental laws and regulations affecting scrap metal recycling operations.
  • Oversee, together with the Environmental Department, compliance with environmental permits, waste disposal regulations, and other environmental compliance matters.

Litigation (Optional but Considered an Asset):

  • Manage, supervise, and resolve any litigation or disputes involving the company, including matters related to business operations and regulatory compliance.
  • Collaborate with external counsel when necessary.

Compliance and Risk Management:

  • Ensure compliance with corporate governance, trade regulations, and corporate policies.
  • Develop and implement risk management strategies to protect the company from potential legal liabilities.

Global Legal Support:

  • Provide legal counsel to the company's global operations, addressing legal issues in various jurisdictions.
  • Collaborate with other departments (e.g., operations, finance, HR) to ensure legal compliance in the company's global dealings.
Qualifications

To join our team:

  • Bachelor of Law and member of the Quebec Bar.
  • Minimum of 1-3 years of experience in corporate law, with a focus on contract review, transactional law, and environmental law.
  • Strong knowledge of Quebec and Canadian corporate law, as well as familiarity with international legal frameworks and regulations.
  • Fully bilingual in French and English (spoken and written) is required.
  • Strong negotiation and drafting skills.
  • Ability to manage multiple projects and legal matters efficiently and with attention to detail.
  • Ability to work in a fast passed environment.
  • A proactive, solution-oriented, and practical approach to legal problem-solving is a must.
  • Excellent interpersonal and communication skills.
