Job description

Direct Counsel is seeking a Corporate Associate with 4–6 years of experience to join a premier Capital Markets & Public Companies practice. This is an exceptional opportunity for attorneys interested in representing innovative technology and life sciences companies, investment banks, and public companies on sophisticated securities, governance, and capital markets matters.

The ideal candidate will have substantial experience advising public companies on securities law compliance and capital markets transactions, as well as a strong interest in working with high-growth technology and life sciences companies.

Responsibilities
  • Advise public companies on SEC reporting and compliance obligations
  • Counsel clients on corporate governance, disclosure requirements, and stock exchange compliance matters
  • Represent issuers and investment banks in capital markets transactions
  • Assist with IPOs, SPAC transactions, direct listings, follow-on offerings, and other securities offerings
  • Draft and review registration statements, periodic reports, proxy statements, and other securities filings
  • Support clients on public company governance, investor relations, and disclosure matters
  • Collaborate closely with management teams, boards of directors, underwriters, and in-house legal teams
Qualifications
  • 4–6 years of corporate transactional experience
  • Significant experience advising public companies and/or investment banks
  • Experience with:
    • SEC compliance and reporting
    • Corporate governance and disclosure matters
    • Stock exchange compliance
    • IPOs
    • SPAC transactions
    • Direct listings
    • Follow-on offerings and other capital markets transactions
  • Experience with or strong interest in technology and/or life sciences companies preferred
  • Superior academic credentials
  • Excellent oral, written, and interpersonal skills
  • Must be admitted in the jurisdiction of the office location selected or eligible for admission
Compensation & Benefits
  • Base salary range: $310,000 – $390,000
