Job Description: Legal Intern (Law Clerk or Junior Associate)

Reports to: Legal Counsel

OCI Energy LLC is a respected solar power and battery energy storage project developer, owner, and operator. We are seeking a Legal Intern (Law Clerk or Junior Associate) to provide legal support to this growing organization in a fast-paced environment. This position is located in San Antonio, Texas and provides a perfect opportunity for a young legal professional looking for interesting and stimulating work with a medium-sized cohesive team which offers the ability to expand one’s knowledge, legal and professional skills, and specialized experience, while at the same time contributing to the company's success.

SUMMARY:

Under general supervision by the Company’s Legal Counsel, the Legal Intern (Law Clerk or Junior Associate) performs a wide range of real estate, corporate and transactional support services to assist the legal department in specialized areas of law including, but not limited to, reviewing, analyzing, drafting, preparing and processing of various legal documents, providing legal advice and handling other legal matters and practical day-to-day aspects of the company’s legal work as determined and assigned by the Legal Counsel and/or the General Counsel.

ESSENTIAL FUNCTIONS:

  • Drafting and Negotiation: Assist in preparing and reviewing corporate transaction agreements and supporting or ancillary documents.
  • Deal Process Support: Support the management of the lifecycle of corporate transactions, from inception to closing.
  • Client Engagement: Provide legal advice to in-house client representatives on several aspects of the business of the Company (including without limitation, corporate governance, financing, restructuring, mergers and acquisitions, real property rights and other transactional matters.
  • Due Diligence: Support in gathering and analyzing information relevant to a transaction or to s specific part of a transaction, including, without limitation, financial, legal, and operational due diligence.
  • Closing Assistance: Help prepare and deliver closing packages, coordinate with opposing counsel, and manage transaction deliverables.
  • Research and Analysis: Conduct legal research on corporate law issues, regulatory requirements, and precedents to inform transaction strategy, on an as needed basis.
  • Collaboration: Work closely and collaboratively with the rest of the legal department team.
  • Compliance and Documentation: Ensure all corporate documents meet firm and regulatory standards, and maintain accurate legal records. Support outside legal counsel as directed by Legal Counsel and/or General Counsel
  • Respond, in a timely and responsive manner, to Legal Counsel, General Counsel, executive leadership team and other clients regarding their respective inquiries
  • Provide such additional support to the Legal Counsel and/or General Counsel as requested from time to time

QUALIFICATIONS/REQUIREMENTS:

  • Juris-Doctor from either (i) a U.S. ABA-accredited university or (ii) a Texas Supreme Court approved university
  • Exceptional communication (written and verbal), technical, analytical, problem solving and decision-making skills required
  • Mature judgment, positive work attitude and ability to work both independently and as a member of a team
  • Ability to conduct oneself in, and maintain a high degree of, confidentiality and professionalism
  • Superior organizational skills
  • Project and/or case management skills, including a strong aptitude for managing and prioritizing multiple concurrent projects and deadlines as required by Legal Counsel
  • Attention to detail and accuracy in drafting
  • Analytical and problem-solving abilities
  • Commercial awareness and business judgment
  • Proficiency in legal research tools and transactional software (preferred)
