Overview
JOB SUMMARY
This is a Hybrid position for indivduals residing in Travis County. Individuals in this position may work both at an approved off-site location and onsite at a primary location or multiple locations based on business needs.
The Board Governance Specialist administers board and committee governance processes for a local government entity, including responsibilities relevant to a hospital district under Chapter 281 of the Health and Safety Code.
This role applies established governance procedures, public meeting requirements, and documentation standards to support meeting readiness, records accuracy, board request tracking, stakeholder coordination, and timely follow up. The position identifies process gaps and escalation needs to support compliance with legal and organizational requirements.
Responsibilities
Essential Functions
-Administer board and committee meeting preparation processes, including agenda timelines, meeting logistics, materials readiness, documentation workflows, and required distribution protocols.
-Evaluate board and committee meeting materials, timelines, and process requirements to identify readiness concerns, documentation gaps, or escalation needs.
-Prepare, review, and maintain board and committee meeting minutes, action items, and related governance records for accuracy, completeness, and alignment with established governance procedures.
-Manage the board request/question tracker, monitor response timelines, identify overdue or unresolved items, and coordinate escalation of items requiring leadership attention.
-Research, draft, and recommend updates to board governance policies, procedures, workflows, and process documents in partnership with the Board Governance Senior Manager.
-Serve as a governance process liaison with board managers and internal stakeholders regarding meeting timelines, documentation requirements, submission expectations, meeting readiness, and follow-up responsibilities.
-Facilitate governance-related communication and information flow across departments to support timely board and committee preparation, documentation, and follow-up.
-Identify governance process risks, documentation issues, workflow gaps, and opportunities for improved consistency, accountability, or efficiency.
-Recommend and support implementation of approved improvements to board governance workflows, records management practices, board request tracking, meeting preparation, and follow-up processes.
-Administer board management software workflows, user access, training materials, reporting, process documentation, and user support.
-Support board-related governance projects and initiatives, including tracking deliverables, monitoring timelines, identifying risks, and recommending process adjustments.
-Maintain confidentiality and exercise sound judgment when handling sensitive governance materials, board communications, official records, and time-sensitive information.
-Performs other duties as assigned.
Qualifications
Education:
  • High School Diploma or equivalent (higher degree accepted) - Required
  • Associates Degree - Preferred
  • Bachelors Degree - Preferred

Work Experience:
  • 2 years of relevant experience supporting the governance structure & operations of a company. - Required

  • Reliable with ability to thrive in a fast-paced environment
