WHAT YOU'LL DO- Advise public and private companies on securities law compliance
- Represent issuers and underwriters in public and private securities offerings
- Counsel publicly traded companies regarding SEC reporting obligations and ongoing compliance
- Advise clients on the Securities Exchange Act of 1934 and related federal securities regulations
- Draft and review securities filings, offering documents, disclosure materials, and corporate governance documents
- Counsel clients regarding stock exchange listing standards and governance requirements
- Assist with mergers, acquisitions, financings, and other strategic corporate transactions
- Perform legal research and provide practical business-focused advice
- Collaborate with attorneys across corporate, finance, tax, and litigation practice groups
- Build trusted relationships with sophisticated business clients
WHAT MAKES YOU A GREAT FIT- Juris Doctor (JD) from an accredited law school
- Active admission to the New York State Bar or willingness to obtain admission promptly
- 4-8 years of securities and capital markets experience
- Experience representing issuers and/or underwriters
- Strong knowledge of SEC regulations and federal securities laws
- Experience advising public companies on corporate governance matters
- Exceptional legal research, drafting, and analytical skills
- Excellent written and verbal communication abilities
- Strong client service mindset and sound professional judgment
- Ability to thrive in a collaborative law firm environment
Preferred
- Experience within a mid-sized or large law firm
- Background advising publicly traded companies
- Experience with securities offerings and ongoing reporting obligations
- Strong transactional drafting experience

Salary range: $139,000-$177,000 annually. Final compensation will be based on experience, qualifications, skills, and other job-related factors.
Licensure Requirement:
- Active admission to the New York State Bar is required, or candidates must be willing and eligible to obtain admission.
- Attorneys relocating to New York may be hired as a Law Clerk until New York Bar admission is completed.
Billable Hours:
- Annual billable expectation is 1,800 hours.
