Job description

Summary: The Assistant General Counsel serves as a strategic legal advisor and key partner to the General Counsel, providing enterprise-wide legal guidance and risk management support across the organization. This role is responsible for advising senior leadership on complex legal, regulatory, and business matters while ensuring compliance with applicable laws, corporate governance standards, and company policies.
The Assistant General Counsel supports a broad range of legal functions including commercial contracts, employment matters, dealer relations and dealer development, product warranty issues, data privacy, litigation management, and corporate compliance.
This position also assists with Board of Directors materials and governance matters, supports the review of public filings, manages outside counsel relationships and spend, and provides legal oversight related to contract workers and operational initiatives. The role partners cross-functionally with business leaders to protect the company's interests, mitigate risk, and enable strategic growth initiatives.
Key responsibilities of Assistant General Counsel:
  • Provide strategic legal counsel and day-to-day legal support to executive leadership and business functions across the organization.
  • Draft, review, negotiate, and manage complex commercial agreements, vendor contracts, dealer agreements, and other business transactions.
  • Advise on dealer matters, dealer development initiatives, distribution relationships, and related regulatory or contractual issues.
  • Support legal matters related to product warranty claims, customer disputes, and risk mitigation strategies.
  • Provide guidance on employment-related matters including contract workers, workplace policies, investigations, and compliance with labor and employment laws.
  • Lead and support corporate compliance initiatives, ensuring adherence to applicable federal, state, and international laws and regulations.
  • Oversee data privacy and data protection matters, including regulatory compliance, policy development, and risk management practices.
  • Assist with litigation management, including coordinating with outside counsel, legal research, discovery support, and dispute resolution strategies.
  • Manage outside counsel relationships, legal budgets, and spend to ensure effective and efficient legal support.
  • Support corporate governance activities, including Board of Directors meeting preparation, resolutions, committee materials, and governance documentation.
  • Assist with the review of public company filings, disclosures, and securities-related documentation in coordination with executive leadership and external advisors.
  • Develop, implement, and maintain legal policies, procedures, and training programs to support operational consistency and compliance.
  • Conduct legal research and provide practical, business-focused recommendations on complex legal and regulatory matters.
  • Partner cross-functionally with HR, Finance, Operations, Sales, IT, and other departments to proactively identify and mitigate legal risk.
  • Monitor changes in laws and regulations that may impact the business and recommend appropriate actions or policy updates.
  • Review and prepare SEC filings - 10-Q, 10-K, 8-K, proxy statements - and advise on securities law matters

Experience
  • Doctor (J.D.) degree with active license to practice law and 8+ years of progressive legal experience in a corporate and/or law firm environment.
  • Strong experience supporting publicly traded companies, including corporate governance, Board support, SEC/public filing review, and regulatory compliance.
  • Proven expertise in drafting, negotiating, and managing complex commercial contracts, dealer agreements, and business transactions.
  • Demonstrated ability to advise executive leadership on legal risk, strategic business matters, employment law, litigation, and compliance issues.
  • Experience managing outside counsel, legal spend, and cross-functional legal matters while delivering practical, business-focused legal solutions.
