The Legal Counsel is a key member of The Austin Company (R) Legal, Risk-Management & Compliance (LRC) team. Austin's in-house LRC Department broadly supports the organization and its architectural, engineering, construction, and consulting operations throughout the United States and internationally. The Legal Counsel's core focus will be (i) reviewing, negotiating, and drafting commercial contracts consistent with internal policy and industry best practices, and (ii) managing Austin's insurance and surety programs. The role will also support other legal and compliance needs throughout the enterprise.

Requirements
  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and membership in good standing with at least one state bar (Ohio; Florida; California).
  • 3-5 + years of relevant legal experience, including substantial experience drafting and negotiating commercial contracts.
  • Strong knowledge of contract law, risk management, insurance, surety bonding, and regulatory compliance related to architecture, engineering, and construction services.
  • Excellent analytical, organizational, and project management skills.
  • Ability to manage multiple priorities independently in a fast-paced environment.
  • Strong communication skills and the ability to provide practical, business-focused legal advice.
  • Both law firm and in-house legal experience preferred.
  • Working knowledge and experience with Federal government contracting and related compliance preferred.
Summary
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including A/E/C customer and vendor contracts, master service agreements, statements of work, non-disclosure agreements, software and technology agreements, licensing agreements, and amendments.
  • Assist with development and maintenance of contract templates, playbooks, and standard policies and processes to improve efficiency and consistency.
  • Advise business stakeholders on contractual rights, obligations, risks, and business implications.
  • Advise business stakeholders regarding existing insurance and surety program protections, suggestions for improvement, verify contractual and legal compliance with insurance and surety requirements.
  • Manage insurance and bond claims.
  • Support project and company or affiliate litigation, arbitration, and dispute resolution.
  • Manage outside counsel, matter budgets, and coordinate with outside consultants.
  • Assist with compliance and internal audit program implementation.
  • Assist with corporate governance matters.
